fl <br /> 1. 7 op 4' <br /> AMENDMENT NO.5 <br /> TO <br /> INTEGRATED TRANSIT TECHNOLOGY SYSTEM AGREEMENT <br /> THIS AMENDMENT is made effective this day of 2015 between: <br /> 1. Strategic Mapping Inc. with its place of business at 40 Eglinton Ave East, Suite 500, Toronto, <br /> Ontario,M4P 3A2 ("SMI");and <br /> 2. City of Everett with its place of business at 3225 Cedar Street,Everett,Washington,U.S.A. <br /> 98201("Customer"). <br /> WHEREAS SMI and Customer intend to amend the SMI Integrated Transit Technology System <br /> Agreement made effective January 6, 2010 (the "Agreement") in order to reflect the addition of to the <br /> scope of the Agreement. <br /> NOW THEREFORE SMI amid Customer agree as follows: <br /> 1. Amendment to Agreement <br /> (a) SMI to provide a third party General Transit Feed Specification(GTFS)static and real-time data <br /> export. <br /> (b) The parties agree that as a result of the addition of a GTFS static and real-time data export, <br /> Customer shall be required to pay a one-time set-up and configuration fee of S 13,800.00 USD. <br /> (c) Customer agrees to the annual maintenance fee of$850.00 USD payable upon the anniversary <br /> of acceptance. <br /> (d) Customer shall be deemed to have accepted the GTFS data feed from SMI upon delivery of a <br /> production ready data export. <br /> (e) SMI is not responsible for any fees charged by third parties related to GTFS data integration. <br /> (i) All remaining terms and conditions,and covenants of the Agreement remain unchanged. <br /> IN WITNESS WHEREOF, the parties have caused this Contract Amendment to be signed by their duly <br /> authorized representatives as of the date above. <br /> Strategic Map Mappin FITC.: LICENSEE <br /> By: 1 By: <br /> Name: Jordan Brock Name: <br /> Title: Vice President.
