I3 • <br /> AMENDMENT NO.3 <br /> PROFESSIONAL SERVICES AGREEMENT <br /> BETWEEN THE CITY OF EVERETT <br /> AND GEOENGINEERS,INC. <br /> This Amendment No. 3 is dated for reference purposes October 25, 2017. It is by and <br /> between the City of Everett, a municipal corporation under the laws of the State of Washington <br /> ("City") and GeoEngineers,Inc. ("Service Provider"). <br /> RECITALS <br /> A. The City and Service Provider are parties to the Professional Services Agreement dated <br /> June 15,2015, as amended, (the"Agreement"),with respect to the Lake Chaplain Road <br /> Culvert Replacement at Woods Lake Creek.. <br /> B. The City and the Service Provider desire to amend the Agreement for the purpose of <br /> adding services to the scope of work, Exhibit A,to include revised construction <br /> observation and consultation support, as necessary This requires an increase of$7,914.00 <br /> in the compensation under the Agreement. Time for completion will remain the same. <br /> AGREEMENT <br /> The City and Contractor agree as follows: <br /> 1. The Agreement is amended to add$7,914.00. Accordingly, Section 4.0 of the <br /> Agreement is amended, so that it provides that total compensation, including all <br /> services and expenses, shall not exceed a maximum of$177,475.00. The attached <br /> Exhibit B is added to the Agreement. <br /> 2. The Agreement scope of work is amended to add the scope of work attached as <br /> Exhibit A. <br /> 3. Paragraph 3 "Time of Beginning and Completion of Performance"will remain the <br /> same, as follows:: This agreement shall commence as of the date of execution of this <br /> agreement and shall be completed by December 31, 2018. <br /> 4. All provisions in the Agreement shall remain in effect except as expressly modified <br /> by this Amendment. <br /> 58 <br />
