t. Purchase, take, receive, lease, take by gift, or otherwise acquire, own, <br /> hold, construct, improve, use and otherwise deal in and with real or personal property, or <br /> any interest therein, in the name of Snohomish County 911; <br /> u. Sell, convey, lease, exchange, transfer, and otherwise dispose of all of its <br /> real and personal property and assets; <br /> v. Sue and be sued, complain and defend, in all courts of competent <br /> jurisdiction in Snohomish County 911's name; <br /> w. Make and alter bylaws for the administration and regulation of its affairs <br /> consistent with this Agreement; <br /> x. Hold radio frequency licenses and software and other licenses to enable <br /> Snohomish County 911 to operate radio communications and dispatch systems to meet its <br /> public safety responsibilities; <br /> y. Enter into contracts with Subscribers to provide Emergency <br /> Communication Services and Additional Services pursuant to this Agreement; <br /> z. Any and all other acts necessary to further Snohomish County 911's goals <br /> and purposes; and <br /> aa. Except as expressly provided above or in Section 13, Snohomish County <br /> 911 shall not have the power or authority to issue debt in its own name. <br /> SECTION 6. GOVERNING BOARD: COMPOSITION AND OPERATION. <br /> a. Composition. Snohomish County 911 shall be governed by a Governing <br /> Board composed of fifteen (15) voting members and one (1) non-voting member. Ten <br /> (10) of the Governing Board voting member seats shall be allocated to Police Agencies, <br /> five (5) Governing Board voting member seats shall be allocated to Fire Agencies, and <br /> one (1) non-voting member seat shall be allocated to an Associate Agency or a Single- <br /> Service Principal. Governing Board Members and their alternates shall be selected in the <br /> manner described in Exhibit B. Notwithstanding the foregoing, from the Consolidation <br /> Effective date until the first meeting of the Governing Board, Snohomish County 911 <br /> shall be governed by the Transition Board described below. The first meeting of the <br /> Governing Board shall occur no later than January 31, 2018, at which point the Transition <br /> Board member teuus and authority shall expire. <br /> b. Transition Board. To govern the Snohomish County 911 until such time as <br /> all Participating Agencies and Associate Agencies have an opportunity to conduct their <br /> first caucuses and select initial Governing Board Members, a Transition Board will be <br /> 13 <br /> 27 <br />
