C� • <br /> Disputes:Any disputes arising in regard to this MOU will be submitted in writing to the TZM for review. <br /> The TZM will bring forward the dispute at the next Task Force meeting and any required decisions will <br /> be voted on by the Task Force. A simple majority will be required to pass the vote and will be final. <br /> Term and Termination: <br /> This MOU will be in effect upon signature and will terminate September 30th, 2018. The MOU may be <br /> terminated by either party by providing written notice of such intent to terminate and specifying the <br /> effective date thereof at least thirty(30)days prior to such date. <br /> Hold Harmless: <br /> The County shall save, hold harmless, indemnify and defend the City, its elected and appointed officials, <br /> officers, employees and agents,from and against any loss or claim for damages of any nature <br /> whatsoever, including claims by third parties or County employees against which it would otherwise be <br /> immune under Title 51 RCW or other law, arising out of any act or omission of the County in <br /> performance of this Agreement, its elected or appointed officials,officers,employees or agents,except <br /> to the extent the loss or claim is attributable to the negligence or willful misconduct of the City,its <br /> elected or appointed officials,officers,employees or agents. <br /> The City shall save, hold harmless, indemnify and defend the County and WASPC, its elected and <br /> appointed officials, officers, employees and agents from and against any loss or claim for damages of <br /> any nature whatsoever, including claims by third parties or the City employees against which it would <br /> otherwise be immune under Title 51 RCW or other law, arising out of any act or omission of the City in <br /> performance of this Agreement, its elected or appointed officials,officers,employees or agents, except <br /> to the extent the loss or claim is attributable to the negligence or willful misconduct of the County, its <br /> elected or appointed officials,officers,employees or agents. <br /> Independent Capacity: <br /> The employees or agents of each party who are engaged in the performance under this MOU shall <br /> continue to be employees or agents of that party and shall not be considered for any purpose to be <br /> employees or agents of the other party. <br /> APPROVED: <br /> Snohomish County <br /> DATE <br /> Everett <br /> DATE <br /> 3 <br /> 44 <br />
