organized as a nonprofit corporation under chapter 24.06 RCW as authorized by <br /> chapter 39.34 RCW. This Agreement shall govern the Snohomish County 911. <br /> iii. SNOCOM, SNOPAC and each party to this Agreement hereby <br /> delegates to Snohomish County 911 the authority to provide emergency <br /> communication services as provided herein. <br /> iv. The separate existence of SNOCOM and SNOPAC, except as <br /> formed as Snohomish County 911, shall cease. <br /> v. Snohomish County 911 shall have all the rights, privileges, <br /> immunities and powers and shall be subject to all the duties and liabilities of a <br /> nonprofit corporation organized under chapter 24.06 RCW. <br /> vi. Snohomish County 911 shall thereupon and thereafter possess all <br /> the rights, privileges, immunities, and franchises, of both a public and private <br /> nature, of each of SNOCOM and SNOPAC; and all property, real, personal and <br /> mixed, and all debts due on whatever account, and all other choses in action, and <br /> all and every other interest, of or belonging to or due to each of SNOCOM and <br /> SNOPAC, shall be taken and deemed to be transferred to and vested in <br /> Snohomish County 911 without further act or deed; and the title to any real estate, <br /> or any interest therein, vested in Snohomish County 911 shall not revert or be in <br /> any way impaired by reason of such consolidation. <br /> vii. Snohomish County 911 shall be responsible and liable for all the <br /> liabilities and obligations of each of SNOCOM and SNOPAC, and any claim <br /> existing or action or proceeding pending by or against any of such corporations <br /> may be prosecuted as if such consolidation had not taken place, or Snohomish <br /> County 911 may be substituted in its place. Neither the rights of creditors nor any <br /> liens upon the property of SNOCOM or SNOPAC shall be impaired by such <br /> consolidation. <br /> viii. Snohomish County 911, as successor to SNOCOM AND <br /> SNOPAC, shall have all rights, privileges, interest, defenses and indemnity <br /> protections of all insurance providers for SNOCOM and SNOPAC, including past <br /> and current providers,that existed prior to consolidation. <br /> ix. The statements set forth in the Articles shall be deemed to be the <br /> articles of incorporation of Snohomish County 911. <br /> 3 <br />
