b. Status of SNOCOM and SNOPAC Members as of the Consolidation <br /> Effective Date. Each member agency of SNOCOM and SNOPAC which, by <br /> December 31, 2017, approves, by action of its legislative authority, the execution and <br /> delivery of this Agreement and is qualified to become and elects to be a Principal of <br /> Snohomish County 911 by making such designation on the services election form <br /> attached hereto as Exhibit A, shall be deemed a Principal of Snohomish County 911 as of <br /> the Consolidation Effective Date. <br /> Alternatively, by December 31, 2017, a member agency of SNOCOM or SNOPAC may <br /> (i) elect to be a Subscriber of Snohomish County 911 by providing written notice of same <br /> to Snohomish County 911 together with notice of its service election, (ii)provide notice <br /> to Snohomish County 911 of its request to be an Associate Agency, or (iii) provide notice <br /> to Snohomish County 911 of its intent to provide its own emergency communication <br /> services and to not be a Principal, Subscriber or Associate Agency of Snohomish County <br /> 911. <br /> The initial Principal, Subscriber, or Associate Agency status of each agency shall remain <br /> in place until such status is changed pursuant to the terms of this Agreement. Agencies <br /> that elect to become Subscribers shall promptly execute the applicable subscriber contract <br /> in a form approved and provided by the Governing Board. <br /> Notwithstanding the foregoing, in the interest of public safety, in the event any member <br /> agency of SNOCOM or SNOPAC qualified to be a Principal or Subscriber under this <br /> Agreement has not, by December 31, 2017, taken official action to execute this <br /> Agreement or notified Snohomish County 911 of its intent prior to this subsection, then <br /> such member of SNOCOM or SNOPAC shall be deemed to be a Subscriber of <br /> Snohomish County 911 for the period between the Consolidation Effective Date and <br /> February 15, 2018 (the "Gap Period"). During the Gap Period Snohomish County 911 <br /> agrees to provide Emergency Communication Services to such agency in order to allow <br /> the agency to complete its formal notification process to Snohomish County 911, and <br /> such agency shall be permitted to execute this Agreement and/or elect to be a Principal, <br /> Associate Agency, or Subscriber during the Gap Period; provided, that agencies deemed <br /> to be Subscribers during the Gap Period pursuant to this paragraph shall be charged a fee <br /> for such services based on the 2018 Assessments as described in Exhibit E attached <br /> hereto plus a latecomer fee equal to 25% of the pro-rata share of Assessments incurred <br /> from the Consolidation Effective Date through the date the agency either executes this <br /> Agreement or executes a Subscriber contract with Snohomish County 911. Snohomish <br /> County 911 shall seek to promptly resolve the status of any agency deemed to be a <br /> Subscriber under this paragraph. <br /> 4 <br />
