meetings shall be given. Special meetings may be called by the Chair or any two (2)Board <br /> Members upon giving all other Board Members not less than ten(10) days prior notice. In an <br /> emergency, the Executive Board may dispense with written notice requirements for special <br /> meetings, but must, in good faith, implement best efforts to provide fair and reasonable notice to <br /> all Executive Board Members. Board Members (or alternates)may participate in meetings by <br /> telephone conference or equivalent means of voice communication. At all times the Executive <br /> Board shall comply with Ch. 42.30 RCW (Open Public Meetings Act). <br /> o. Articles of Incorporation and Bylaws. Unless otherwise provided in the Articles <br /> and Bylaws or by vote of the Executive Board, upon the request of any Board Member of the <br /> Executive Board, Robert's Revised Rules of Order shall govern any proceeding of the Executive <br /> Board. <br /> p. Consultation with Operations Committee. It is the intent of this Agreement to <br /> seek the active participation and advice of Participating Cities in the determination of PORTAL <br /> AGENCY policies and management. To the extent practicable, all items to come before the <br /> Executive Board shall have been previously subject to the review, comment and <br /> recommendation of the Operations Committee and the Executive Board shall consider input from <br /> the Operations Committee in its deliberations. <br /> q. Consultation with Businesses, Taxpayers and Participating Cities. Not less than <br /> once each year the Executive Board shall seek input from Taxpayers and Participating Cities for <br /> the purpose of securing feedback and information on the efficiency and effectiveness of the <br /> Portal and PORTAL AGENCY programs. <br /> SECTION 8. CONVERSION OF STATUS OF PARTICIPATING CITIES; ADDITION <br /> OF NEW PRINCIPALS OR SUBSCRIBERS. <br /> a. Loss of Principal Status. As described in Sections 13.d and 13.k hereof, a <br /> Principal shall be converted to Subscriber for failure to approve its share of the budget or for <br /> nonpayment or delinquency in payment of charges and fees. On the date of such conversion, <br /> said former Principal shall: <br /> i. lose its representation on the Executive Board; <br /> ii. lose its right to receive a share of the PORTAL AGENCY assets upon <br /> dissolution of the PORTAL AGENCY; <br /> iii. become subject to payment of charges and fees in accordance with the then <br /> applicable payment formula for Subscribers; and <br /> iv. be bound by the terms of the then current Subscriber service contract. <br /> The conversion of a Principal to Subscriber shall not discharge or relieve any Principal of its <br /> obligations to the PORTAL AGENCY or any other Participating City. <br /> v. 11.4.13 15 <br />
