b. As described in Section 13.b.iv.2 and Exhibit D, any increase in Labor Costs in <br /> excess of the New Participant Labor Cost Increment requires approval of a Supermajority Vote <br /> of the Executive Board as well as the approval of all Board Members representing all Original <br /> Principals. <br /> SECTION 11. PORTAL AGENCY MANAGER. <br /> a. Portal Agency Manager Appointment, Responsibilities and Authority. The <br /> Executive Board shall be responsible for the appointment and termination of a Manager of the <br /> PORTAL AGENCY, and shall request input from the Operations Committee, or any other <br /> standing committees created by the Executive Board, regarding any proposed appointment. The <br /> Manager shall: <br /> i. Be responsible to the Executive Board and shall advise it from time to time <br /> on a proposed budget and other appropriate matters in order to fully <br /> implement the purposes of this Agreement; <br /> ii. Administer the PORTAL AGENCY in its day-to-day operations consistent <br /> with the policies adopted by the Executive Board; <br /> iii. Appoint persons to fill other staff positions, subject to confirmation by the <br /> Executive Board as the Board may require; <br /> iv. Submit quarterly budget and operation performance reports to the Executive <br /> Board in a form acceptable to the Executive Board; <br /> v. Undertake outreach to Taxpayers, Licensees and businesses, as well as to <br /> Participating Cities on the effectiveness of the PORTAL AGENCY <br /> operations and programs. <br /> vi. Manage and oversee performance of the Vendor and other vendors or <br /> contractors providing services to the PORTAL AGENCY. <br /> vii. Consult in advance with the Operations Committee on issues to come before <br /> the Executive Board, including but not limited to working with the <br /> Operations Committee in the development of the PORTAL AGENCY's <br /> budget and policies. <br /> b. Qualifications, Retention and Termination. The Manager shall have experience in <br /> technical, financial and administrative fields and his or her appointment shall be on the basis of <br /> merit only. The Manager is an"at will"position and may be terminated from his or her position <br /> as Manager upon the Supermajority Vote of the Executive Board, without cause. <br /> c. Legal Counsel, Accountants and Auditors. Only the Executive Board shall be <br /> authorized to hire or retain legal counsel and independent accountants and auditors. Other <br /> consultants may be designated in such manner as the Executive Board may determine subject to <br /> Sections 6 and 7. <br /> v. 11.4.13 18 <br />
