SURVIVABILITY <br /> The terms and conditions contained in this Agreement which by their sense and context <br /> are intended to survive the expiration or termination of the Agreement or a Contract shall <br /> survive. Surviving terms include, but are not limited to: Confidentiality, Disputes, <br /> Inspection, Maintenance of Records, Ownership of Material, Responsibility, Termination <br /> for Lack of Performance, Termination Procedure, and Treatment of Assets. <br /> LII. ENTIRE AGREEMENT <br /> These provisions represent the entire and integrated Basic Terms and Conditions of the <br /> parties and may not be modified or amended except as provided herein. <br /> LIII. EFFECTIVE DATE AND EFFECTIVENESS OF THIS AGREEMENT <br /> This Agreement becomes effective only upon incorporation by reference into a Contract <br /> between the County and the Agency. Prior Basic Terms and Conditions between the <br /> parties incorporated by reference into contracts existing prior to the execution of these <br /> Basic Terms and Conditions shall remain in effect as to those contracts.
