Board of Directors shall be held and conducted in accordance with, <br /> RCW 42 . 30 . 010 et seq.', and special meetings may be called as <br /> therein provided. In addition any member of the Board of <br /> Directors upon five days ' notice may call a special meeting of <br /> the Board of Directors to consider matters appropriate to a <br /> regular meeting if twenty-five days have elapsed since the <br /> previous Board of Directors meeting and no future Board of <br /> Directors meeting has been scheduled. <br /> C. All meetings shall be open to the public, except the <br /> Board of Directors may hold an executive session to consider <br /> matters enumerated in RCW 42 . 30 . 010 et seq. , and shall enter the <br /> cause therefor upon its offical journal . <br /> D. Any of the actions identified in Section . 200 A may be <br /> authorized by the Board of Directors without a meeting upon the <br /> unanimous written concurrence thereto of all members of the Board <br /> of Directors who are entitled to vote on the matter; and upon <br /> entry of such action together with the written concurrence upon <br /> the official journal the action shall have the force and effect <br /> as if taken at a meeting. <br /> Section . 310 Meetings of any membership. <br /> A. Meetings of the Membership shall be held at least once <br /> every calendar quarter or at more frequent intervals as provided <br /> in the charter. Special meetings of the Membership may be -called <br /> by the Board of Directors or by petition of the members as <br /> provided by the charter or the rules and regulations . <br /> B. Notice of meeting, stating the place, day and hour, shall <br /> be mailed to members entitled to be present at least ten days and <br /> not more than thirty days before the meeting. <br /> C . Any member or corporate official may call a special <br /> meeting of the Membership upon the notice aforesaid, with the <br /> expense of notice to be borne by the public corporation to <br /> consider matters appropriate to a quarterly meeting if ninety <br /> days have elapsed after the previous meeting and no meeting of <br /> the Membership shall have been scheduled within thirty days . <br /> Section . 320 Meetings--City participation. <br /> A. The failure to hold and conduct a regular meeting shall <br /> not work a forfeiture of dissolution of the public corporation, <br /> but upon notice from the Mayor or City Council , the public <br /> corporation shall promptly call and conduct a special meeting to <br /> consider matters appropriate to the regular meeting bypassed. <br /> B. The Mayor and the City Council shall be given notice of <br /> any meetings of a membership and be entitled to appear in person <br /> or by representative. <br /> - 17 - <br />
