provide for election; 'selection, or appointment of all or soiree <br /> positions by the Memberhip, by other members of the Board of ' <br /> Directors , or by other appointing authorities; and establish <br /> advisory or honorary positions without voting powers or with <br /> limited voting powers . <br /> D. If the charter provides for Board of Directors <br /> committees , the Board of Directors by resolution may designate <br /> and appoint one or more committees consisting of at least three <br /> or more members to represent the Board of Directors. <br /> Section . 280 Composition of the Membership. <br /> A. Insofar as such differences or provisions are related to <br /> the projects and activities to be undertaken by the public <br /> corporation, the charter may: <br /> 1 . Divide the Membership into classes by objective <br /> criteria, and assign differing powers or duties to each class; <br /> 2 . Confer on certain classes of members advisory <br /> capacity only, while other classes of members may vote on <br /> specific matters or have general voting powers ; or <br /> 3 . Provide for limited membership in the Membership or <br /> establish dues or a membership fee. <br /> B. The charter may provide for open participation; and the <br /> charter may provide for affiliation by persons not eligible car <br /> unwilling to assume status as a member. <br /> C . Unless the charter provides otherwise, anyone sixteru <br /> years of age or older shall be eligible for member status; and <br /> each member shall have the same and equal rights and vote that. <br /> every other member enjoys . <br /> D. Membership status shall be personal and may not be <br /> transferred by purchase or sale or assignment or by payment of <br /> any other consideration. <br /> Section . 290 Access to records . <br /> A. A public corporation shall keep an official journal <br /> containing the minutes of proceedings at all meetings of the <br /> Board of Directors and any meetings of any membership and the <br /> resolutions of the Board of Directors . <br /> B. Any citizen shall have access to records and information <br /> of the public corporation to the same degree as a citizen enjoys <br /> to records and information of any agency of the city. <br /> Section . 300 Meetings of the Board of Directors . <br /> A. The Board of Directors shall meet at intervals as <br /> provided in or by the charter; special meetings of the Board of <br /> Directors may be called as provided by the charter or in the <br /> rules and regulations . <br /> B. The Board of Directors of a public corporation shall be <br /> the governing body of a public agency as defined in the "Open <br /> Public Meetings Act, " RCW 42. 30 . 020 , and all meetings of the <br /> - 16 - <br />
