AGREEMENT BETWEEN THE CITY OF EVERETT AND <br /> THE YMCA OF SNOHOMISH COUNTY <br /> THIS AGREEMENT (this "Agreement") is entered into this day of <br /> , 2018 (the "Effective Date"), by and between the CITY OF EVERETT, a <br /> first-class charter city under the laws of the State of Washington (the "City"), and the YOUNG , <br /> MEN'S CHRISTIAN ASSOCIATION OF SNOHOMISH COUNTY, a private non-profit <br /> Washington corporation(the "YMCA"). <br /> RECITALS <br /> A. The City operates and provides a variety of recreational programs as part of its <br /> parks and recreation services. <br /> B. The YMCA is constructing a new facility within the City that also has the <br /> capacity and capability to augment the City's recreational swim programs provided through its <br /> parks and recreation services. This new facility is referred to in this Agreement as the "YMCA <br /> Facility" and will be located on the property legally described on Exhibit A to this Agreement <br /> (the"YMCA Property"). <br /> C. The YMCA is willing and agreeable to provide City residents with access to its <br /> new swimming facility upon the terms and conditions contained in the Swimming Pool Access <br /> Easement and Agreement attached as Exhibit G to this Agreement(the"Access Easement"). <br /> D. The City desires to develop a neighborhood park adjacent to the YMCA Facility <br /> to expand park and recreation opportunities to City residents in an area of the City that has been <br /> identified as needing a neighborhood park. <br /> E. The YMCA is willing and agreeable to make land available to the City to allow <br /> the City to develop a neighborhood park upon the terms and conditions contained in this <br /> Agreement. This land to be transferred to the City is referred to in this Agreement as the "Park <br /> Property" and is the property generally depicted as such on Exhibit B to this Agreement. <br /> AGREEMENT <br /> For good and valuable consideration, the receipt and sufficiency of which are hereby <br /> acknowledged, the parties agree as follows: <br /> 1. Purpose of the Agreement. By entering into this Agreement and the Access <br /> Agreement, the City and the YMCA intend to specify certain cooperative undertakings to benefit <br /> the residents of the City and the programs of the YMCA. These undertakings include the <br /> donation of land by the YMCA to the City for the creation of a neighborhood park, City funding <br /> to be combined with YMCA funding,to allow for broad-based aquatic programming accessible <br /> to the City's residents, as well as other collaborative opportunities. <br /> 1 <br /> 28 <br />
