• <br /> r� <br /> i <br /> MAINTENANCE AND REPAIR AGREEMENT <br /> • <br /> This Agreement is dated , 2018 and is between the CITY OF <br /> EVERETT, a municipal corporation ("Everett") and the CITY OF MUKILTEO, a municipal <br /> corporation ("Mukilteo"). <br /> • <br /> • RECITALS <br /> A. Everett has automotive and equipment repair facilities and trained personnel to provide <br /> maintenance and repair services for vehicles and equipment.. Everett is willingto provide <br /> such services from time to time on a fee basis to Mukilteo. <br /> B. Mukilteo does not maintain trained. personnel and. equipment necessary to meet its • <br /> requirements for repair-and maintenance services and, therefore, has a need for such <br /> services from outside sources for its vehicles and equipment. <br /> AGREEMENT • <br /> • <br /> The parties agree as follows: <br /> 1. SERVICES. Everett, through its Motor Vehicle Division (Everett Transit), will perform <br /> vehicle andequipment maintenance and' repair.work.and related services for Mukilteo (the <br /> "Services"): <br /> • Mukilteo will determine from time to time which, if any, of its vehicles and <br /> equipment require Services. <br /> • Mukilteo will deliver the vehicles or equipment for Services to Everett's Motor <br /> Vehicle Division at the location designated by Everett's Motor Vehicle Division. <br /> • Mukilteo will provide at delivery a work order or other document stating the <br /> Services requested. <br /> • Mukilteo is responsible for return transportation for individuals delivering vehicles <br /> • and equipment. <br /> • Everett will perform Services on as'many vehicles and equipment as Everett's <br /> Motor Vehicle Division is willing to accommodate. <br /> • • 'The Services performed and priority and speed of Services will be of the same <br /> level and quality and speed as Everett applies to its own vehicles and equipment. <br /> Such priorities, level, speed and quality of work are discretionary with Everett's <br /> Motor Vehicle Division. <br /> • . Mukilteo grants Everett permission to operate the vehicles and equipment on <br /> streets, highways or,elsewhere for the purpose of testing and inspection. <br /> • Mukilteo will retrieve vehicles and equipment from Everett's Motor Vehicle • <br /> Division upon completion of Services. <br /> 2. PAYMENT. Everett will invoice Mukilteo from time to time for the Services. Within <br /> 30 days receipt of an invoice, Mukilteo will pay the invoice. Everett is entitled to recover from <br /> Mukilteo all costs associated with providing the Services.
