� <br />� <br />NOW THEREFORE, in consideration of the mutual covenants contained herein <br />and other good and valuable consideration, the receipt and suFficiency of which <br />are hereby acknowledged, the parties hereto hereby agree as follows: <br />1. The Assignor hereby grants, assigns, !ransfers, conveys, assigns and sets <br />over to the Assignee its entire right, title, interest and estate in and to ihe <br />Lease and the rents and ali other amounts payable there under including <br />and al! other benefiis and advantages to be derived there from including <br />Assignor's right, title and interest to the security deposit and any pre-paid <br />rent, if any to Assignor, to have and to hold unto the Assignee for and <br />during the remainder of the term of the Lease. <br />2. The partias agree that lhis Assignment shall become effective as of <br />the day of September 2008. <br />3. The covenants and agreements herein contained shall be bindiny upon <br />and inure to the benefit of the heirs, e�ecutors, administrator, <br />Successors and assigns of each of the parties hereto. <br />4. The Assignor covenants that the Lease is in full force and effect <br />unlamented and that there is no material default by the parties there to. <br />IN WI7NcSS WHEREOF, the parties hereto have caused this Assignment to <br />ba executed as the day and year written above. <br />
