The.EPD shall provide commercial General liability insurance at limits of not less than$1,000,000. Such coverage will be primary and not seek contribution from EHA's insurance pool for training activiities that cause injury or property damage on or to the training site.Everett Housing Authority shall be named as additional insured on this policy. if either party is self-insured or insured through a risk sharing pool,each will honor in good faith the insurance and indemnification sections of this agreement as if there were commercial insurance. 5. Indemnification. Everett Police Department shall,to the fullest extent permitted by law,indemnify, defend,and hold harmless the EHA,its officers,directors,employees,agents,contractors, representatives and volunteers,(collectively hereinafter EHA and EHA Personnel)from and against any and all actions,suits,any claims,demands,liabilities,losses,costs,suits,penalties,obligations, errors,omissions,and damages,including attorneys'fees,costs and expert witness fees,whether or not suit is actually filed,and or any judgment rendered against Governing Law. The validity, construction,and interpretation of this.Agreement and the rights and duties of the parties hereto shall be governed by the internal laws of the State of Washington 6. Severability. if any provision of this Agreement is held by a court or arbitrator of competent jurisdiction to be contrary to law,then the remaining provisions of this Agreement will remain in full force and effect. 7. Counterparts;Signatures. This Agreement may be signed in counter parts with the same effect as if the signatures were upon a single instrument,and all such counterparts together shall be deemed an original of this Agreement. For purposes of this Agreement,a facsimile copy of a party's signature shall be sufficient to bind such party. 8. Entire Agreement.This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements. its terms can be modified or amended only by a written agreement signed by the Parties.
