2IPaue <br /> BPAS' Administrative Policies and Procedures may change from time to time as BPAS continues to enhance its <br /> services. Such policies and procedures will be outlined in BPAS' User's Guide, CensusPROTM User Guide, Policy <br /> Statement Regarding Accounting Transactions, the websites provided to the Participants, and other relevant <br /> documents. The Plan Sponsor and Plan Administrator acknowledges that these documents exist, and understands <br /> that specific policies for many areas of BPAS' services will be governed by these documents to the extent that <br /> such policies do not conflict with any provisions of this Agreement or the Plan —the most recent copies of which <br /> are posted on BPAS' website at all times. <br /> Section 2.02 Additional Services. BPAS shall provide additional administrative services as may be requested by <br /> the Plan Sponsor, Plan Administrator, or a representative of the Plan Sponsor or Plan Administrator, at the hourly <br /> rates then prevailing for the BPAS staff members involved in performing such services, as set forth in Attachment <br /> C. BPAS will provide the Plan Sponsor or Plan Administrator or a representative of the Plan Sponsor or Plan <br /> Administrator with a written estimate of the fees for the additional services to be provided in advance of the <br /> performance of such services. Upon authorization from the Plan Sponsor or Plan Administrator to provide such <br /> services, BPAS will complete any and all tasks reasonably related to those services, unless specifically instructed in <br /> writing not to do so. <br /> Section 2.03 Investment Options. The Funds available through the Trust shall be selected and may be revised <br /> from time to time in writing by the Plan Administrator. BPAS will make available such Funds to the Participants <br /> within sixty (60) days of its receipt of a written direction from the Plan Administrator. Where any Fund contains <br /> restrictions on amounts that may be transferred out of or into such Fund, BPAS is hereby directed to enforce such <br /> restrictions in its performance of administrative services for the Trust. Where such restrictions are in the form of <br /> redemption fees, BPAS may restrict the Participant's ability to transfer Funds subject to a redemption fee until the <br /> expiration of the applicable holding period. In the event that BPAS cannot confirm that a transferee fund will <br /> comply with such restrictions, BPAS is hereby directed to deny the transfer request on behalf of the Plan <br /> Administrator, and provide written notice of such denial to the Plan Administrator. <br /> Section 2.04 Basic Fees. In consideration for the services provided by BPAS in accordance with this Agreement, <br /> Plan Sponsor and Plan Administrator agree to pay to BPAS the applicable fees reflected in the attached Fee <br /> Schedule. <br /> BPAS and its affiliates acknowledge that they may be entitled to certain fees from the Funds made available to <br /> the Participants pursuant to BPAS' and its affiliates' separate agreements with the various Funds, including, but <br /> not limited to "12b-1 fees," shareholders servicing fees, and sub-transfer agency fees ("Fund Fees"). BPAS and its <br /> affiliates shall be entitled to any Fund Fees earned with regard to any Fund. BPAS and its affiliates will take the <br /> amount of revenue sharing received into consideration when determining its fees. The custody fee applied to <br /> each Fund will be reduced by the revenue sharing payment by the respective Fund. Revenue sharing amounts <br /> are subject to change without BPAS' consent based on the policies of the Funds. BPAS will not be responsible to <br /> audit the amounts received attributable to an individual trust's holdings. Any increases or decreases in revenue <br /> sharing payments by the Fund or a change in the Fund menu will result in a corresponding adjustment to the <br /> custody fee applicable to such Funds. For additional information regarding revenue sharing and other costs <br /> associated with administering mutual funds, refer to the fund prospectus and related information. BPAS shall <br /> provide information regarding such fees via the sponsor web, which is continually updated to reflect the total fees <br /> and other compensation that it and its affiliates receive from the Funds as a result of the services it provided to <br /> the Trust pursuant to this Agreement, and provide the Plan Administrator with notice that the sponsor website <br /> has been updated. <br /> VEBA Administrative Service Agreement (405512) <br />
