AMENDMENT NO. 1 PROFESSIONAL SERVICES AGREEMENT BETWEEN T H H; CITY OF EVERETT AND KDW SALAS O'BRIEN,LLC This Amendment No. 1 is dated for reference purposes December 18, 2018. It is by and between the City of Everett, a municipal corporation under the laws of the State of Washington("City") and KDW Salas O'Brien,LLC ("Salas O'Brien"). RECITALS A. The City and Service Provider are parties to the Professional Services Agreement dated June 26, 2017 (the"Agreement"). B. The City and the Service Provider desire to amend the Agreement for the purpose of(a) extending the time for completion from December 31, 2018 to December 31, 2021; (b) increase the maximum compensation by an additional $20,000 from the current contract level of$40,519 to $60,519; (c)include additional work sites. AGREEMENT The City and Service Provider agree as follows: 1. The Agreement is modified so that time of beginning and completion are as follows: Time of Beginning and Completion of Performance: This Agreement shall commence as of the date of execution of this Agreement and shall be completed by December 31,2021. 2. The Agreement is modified so that total compensation, including all services and expenses, shall not exceed sixty thousand, five hundred and nineteen dollars ($60,519). 3. The Scope of Work (Exhibit A) is modified to include arc flash analysis and labels.for additional locations including initial analysis of water reservoir sites, and the required renewal of the labels located at the Water Pollution Control Facility and the Water Filtration Plant. 4. Regardless of the date(s) on which this Amendment is signed by the parties, the parties agree that the Agreement has been continuously in effect since June 26, 2017.. 5. All provisions in the Agreement shall remain in effect except as expressly modified by this Amendment. 22
