12.1 General Requirement.Socrata, at no expense to the Customer, shall comply with all <br /> applicable laws of the United States and the State of Washington; the Charter and ordinances <br /> of the Customer; and rules, regulations, orders, and directives of their administrative agencies <br /> and the officers thereof. <br /> 12.2 Licenses and Similar Authorizations. Socrata, at no expense to the Customer,shall secure <br /> and maintain in full force and effect during the term of this Agreement all required licenses, <br /> permits,and similar legal authorizations, and comply with all requirements thereof. <br /> 12.3 Taxes. Socrata shall pay, before delinquency,all taxes, levies, and assessments arising from <br /> its activities and undertakings under this Agreement; taxes levied on its property, equipment <br /> and improvements, and taxes on Socrata's interest in this Agreement. <br /> 13. INSURANCE. Socrata is required to submit evidence of cyber liability insurance to the <br /> Customer, and at a minimum maintain cyber liability coverage of$5,000,000 per occurance for <br /> the entire term of the contract, inclusive of any term extension(s).Additionally,Socrata agrees <br /> that it will maintain premises and vehicle liability insurance in force with coverages and limits of <br /> liability that would generally be maintained by similarly situated vendors and workers <br /> compensation insurance as may be required by Washington State statutes. <br /> 14. REVIEW OF VENDOR RECORDS. Socrata and its Subcontractors shall maintain books, <br /> records, documents and other evidence relating to this Agreement including but not limited to <br /> protection and use of Customer's Confidential Information, and accounting procedures and <br /> practices which sufficiently and properly reflect all direct and indirect costs of any nature <br /> invoiced in the performance of this Agreement. Socrata shall retain all such records for six(6) <br /> years after the expiration or termination of this Agreement. Records involving matters in <br /> litigation related to this Agreement shall be kept for six(6) years from the date of expiration or <br /> termination of this Agreement whichever is later. <br /> All such records shall be subject at reasonable times and upon prior notice to examination, <br /> inspection, copying or audit by personnel so authorized by the Customer,the State Office of the <br /> Auditor, and federal officials so authorized by law, rule, regulation Or contract, when applicable, <br /> at no additional cost to the Customer. During the term of the Agreement,Socrata shall provide <br /> access to these items at a mutually agreeable time and place. Socrata shall be responsible for <br /> any audit exceptions or disallowed costs incurred by Socrata or any of its Subcontractors. <br /> Socrata shall incorporate in its subcontracts this section's records retention and review <br /> requirements. <br /> It is agreed that books, records,documents and other evidence of accounting procedures and <br /> practices related to Socrata's cost structure, including overhead, general and administrative <br /> expenses, and profit factors shall be excluded from Customer's review unless the cost or any <br /> material issue under this Agreement is calculated or derived from these factors. <br />
