15. INDEPENDENT CONTRACTOR.The relationship of Socrata to the Customer by reason of this <br /> Agreement shall be that of an independent contractor.This Agreement does not authorize <br /> Socrata to act as the agent or legal representative of the Customer for any purpose whatsoever. <br /> Socrata is not granted any express or implied right or authority to assume or create any <br /> obligation or responsibility on behalf of or in the name of the Customer or to bind the Customer <br /> in any manner or thing whatsoever. <br /> It is the intention and understanding of the Parties that Socrata shall be an independent Vendor <br /> and that the Customer shall be neither liable for nor obligated to pay sick leave, vacation pay or <br /> any other benefit of employment, nor to pay any social security or other tax that may arise as <br /> an incident of employment. Socrata shall pay all income and other taxes as due. Industrial or <br /> other insurance that is purchased for the benefit of Socrata shall not be deemed to convert this <br /> Contract to any employment contract. It is recognized that Socrata may or will be performing <br /> professional Work during the term for other parties and that the Customer is not the exclusive <br /> user of the Work that Vendor will provide. <br /> 16. NO CONFLICT OF INTEREST. Socrata confirms that Socrata does not have a business interest <br /> or a close family relationship with any Customer officer or employee who was, is, or will be <br /> involved in Socrata selection, negotiation, drafting, signing, administration, or evaluating <br /> Socrata's performance. <br /> 17. NO GIFTS OR GRATUITIES. Socrata shall not directly or indirectly offer anything of value <br /> (such as retainers, loans, entertainment, favors, gifts, tickets,trips,favors, bonuses, donations, <br /> special discounts, work or meals)to any Customer employee,volunteer or official,that is <br /> intended, or may appear to a reasonable person to be intended, to obtain or give special <br /> consideration to Socrata. <br /> SOCRATA, INC.
