CITY <br /> Amendment No. 1 <br /> to Everett Station <br /> Operations and Maintenance <br /> THIS AMENDMENT NO. 1 to the Everett Station Operations and Maintenance Agreement <br /> between the City of Everett and Sound Transit (the "First Amendment") is entered into this <br /> 12 S day of March, 2019 by and between The City of Everett is a municipal corporation <br /> existing under the laws of the State of Washington (the "City") and the Central Puget Sound <br /> Regional Transit Authority, commonly known as Sound Transit ("Sound Transit"), either of which <br /> entity may be referred to hereinafter individually as "Party" or collectively as the "Parties." <br /> WHEREAS, on December 18, 2015, the Parties entered into an Agreement to specify the <br /> respective responsibilities of the Parties regarding the maintenance and operations of Everett <br /> Station related to Sound Transit's ST Express bus service ("ST Express") and Sounder <br /> commuter rail service ("Sounder"). The Agreement (a) establishes the cost/revenue structure <br /> and type of services to be provided by the City, (b) specifies Sound Transit's responsibilities <br /> regarding informational signage, and (c) allows for additional work that may be agreed upon <br /> between the Parties; and <br /> WHEREAS, the Parties desire to deploy security upgrades and enhancements around Everett <br /> Station for the safety of the patrons, staff, and general operation of the facility; and <br /> WHEREAS, Section 4.1.10 and Section 12.15 of the Agreement requires the written agreement <br /> of the Parties for significant changes to operations and maintenance services <br /> NOW, THEREFORE, in consideration of the terms, conditions and mutual covenants set forth <br /> herein and in the Agreement, the Parities hereby agree to amend the Agreement as follows: <br /> 1. Section 4.1.2 Emergency Call Stations is amended as follows: <br /> The City will provide security services to respond to calls generated from Sound Transit <br /> Emergency Call Stations from the hours of 6 am to 10 pm. Sound Transit will provide <br /> security services to respond to calls generated 10 pm to 6 am. <br /> 2. Section 4.1.9, Information Technology Systems, is amended to read as follows: <br /> The City and Sound Transit will consult regarding the development or installation of <br /> information technology systems for security and transit customers at Everett Station. <br /> Prior to the implementation of such systems, the Parties will reach a written agreement <br /> on the cost of materials, installation, and operation of such systems. In accordance with <br /> this section, the City will reimburse Sound Transit in the amount of$30,000.00 that <br /> represents a portion of the total cost for the materials and installation of the new security <br /> network by Sound Transit. The itemized cost breakdown of the security network upgrade <br /> is attached as Exhibit G (Revision 1). <br /> 3. Section 4.2.6 Security is amended as follows: <br /> Sound Transit will provide security services for the Sounder platform and rail layover. <br /> The City is authorized to provide security support as needed for the Sounder platform <br /> and rail layover. <br /> Purchase Order: 154453 OS GA 0511-16 <br /> Amendment 1 <br />
