7.2 Insurance Maintained By Employer.Throughout the Term,Employer will maintain
<br /> its customary self-insurance program. Employer shall also maintain, in its self-insurance program
<br /> or otherwise, appropriate worker's compensation and employer's liability insurance coverage in
<br /> accordance with at least the minimum amounts required by any applicable federal and state laws
<br /> and regulations. Employer shall provide to Vera copies of these insurance policies upon request.
<br /> Employer shall notify Vera immediately of any change in Employer's insurance status or coverage
<br /> including, but not limited to, any insurance policy required hereunder being impaired, cancelled,
<br /> or reduced by the insurance carrier or Employer for any reason.
<br /> 8. Indemnification.
<br /> 8.1 To the fullest extent allowed by law and without limiting or compromising any
<br /> available insurance coverage of either party,Vera,Vera PC and Employer each agree to indemnify,
<br /> hold harmless and defend the other against any and all loss, injury, liability,claim, damage,cause
<br /> of action or expense suffered by the other party resulting directly or indirectly, from: (a) any
<br /> breach or failure to perform any of its responsibilities or obligations under this Agreement; or(b)
<br /> any liability, damages, or injuries to other persons or the other party or to the property of other
<br /> persons or to the other party caused by acts, omissions, negligence, or intentional acts of the
<br /> indemnifying party, its employees, agents, Participants or representatives; including without
<br /> limitation claims related to Provider malpractice,claims relating to violations of HIPAA and its e-
<br /> security rule, and claims related to data breach; or(c) any inaccuracy in, or breach of, any of the
<br /> representations, warranties, covenants or agreements made by it in this Agreement, or (d) any
<br /> claim that the Services or any portion or use thereof constitutes an infringement,violation,trespass,
<br /> contravention or breach of any patent, copyright, trademark, license or other property or
<br /> proprietary right of any third party, or constitutes the unauthorized use or misappropriation of any
<br /> trade secret of any third party and/or is not in compliance with any applicable law,rule,regulation,
<br /> contract, order of any governmental agency. The indemnification protection provided by this
<br /> paragraph shall extend not only to the parties themselves but also to their officers, directors,
<br /> shareholders and employees. Further, the indemnification protection provided by this paragraph
<br /> shall include, without limitation, reasonable attorneys' fees, interest, court costs and other
<br /> reasonable costs and expenses incident to proceedings, investigations or the defense of settlements
<br /> paid arising from any such claims. Vera and Vera PC's obligations under this Section 8.1 are joint
<br /> and several.
<br /> 8.2 LIMITATION OF LIABILITY.
<br /> 8.2.1 EXCEPT AS PROVIDED OTHERWISE IN SECTION 8.2.2, IN NO
<br /> EVENT WILL ANY OF THE PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
<br /> CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES (INCLUDING WITHOUT
<br /> LIMITATION DAMAGES FOR LOST REVENUE, PROFIT, BUSINESS USE OR DATA)
<br /> EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
<br /> DAMAGES. EXCEPT AS PROVIDED OTHERWISE IN SECTION 8.2.2. THE AGGREGATE
<br /> LIABILITY OF A PARTY RELATING TO OR ARISING OUT OF THIS AGREEMENT FOR
