PURPOSE & DESCRIPTION: <br />The purpose of the Fiscal Year (FY) 2022 Emergency Management Performance Grant (22EMPG) program is to provide U.S. <br />Department of Homeland Security (DHS)/Federal Emergency Management Agency (FEMA) Federal award funds to states to <br />assist state, local, territorial, and tribal governments in preparing for all hazards through sustainment and enhancement of <br />those programs as described in the Work Plan. <br />The Department is the Recipient and Pass -through Entity of the 22EMPG DHS Award Letter for Grant No. EMS-2022-EP-00006- <br />S01 ("Grant"), which is incorporated in and attached hereto as Attachment C and has made a subaward of Federal award funds <br />to the Subrecipient pursuant to this Agreement. The Subrecipient is accountable to the Department for use of Federal award <br />funds provided under this Agreement and the associated matching funds. <br />IN WITNESS WHEREOF, the Department and Subrecipient acknowledge and accept the terms of this Agreement, including all referenced <br />Attachments which are hereby incorporated in and made a part hereof, and have executed this Agreement as of the date below. This <br />Agreement Face Sheet; Special Terms & Conditions (Attachment A); General Terms and Conditions (Attachment B); 22EMPG Award Letter <br />EMS-2022-EP-00006-S01 (Attachment C); Work Plan (Attachment D); Timeline (Attachment E); Budget (Attachment F); and all other <br />documents expressly referenced and incorporated herein contain all the terms and conditions agreed upon by the parties and govern the <br />rights and obligations of the parties to this Agreement. No other understandings, oral or otherwise, regarding the subject matter of this <br />Agreement shall be deemed to exist or to bind any of the parties hereto. <br />In the event of an inconsistency in this Agreement, unless otherwise provided herein, the inconsistency shall be resolved by giving <br />precedence in the following order: <br />1. Applicable Federal and State Statutes and Regulations 4. Special Terms and Conditions <br />2. DHS/FEMA Award and program documents 5. General Terms and Conditions, and, <br />3. Work Plan, Timeline, and Budget 6.
