<br />    		AN   ORDINANCE   OF   THE   CITY   OF   EVERETT,   GRANTING   A   NON-EXCLUSIVE
<br />    		FRANCHISE    TO    CONSTRUCT,     INSTALL    AND    OPERATE    LINES,    WIRES,
<br />    		COAXIAL    CABLE    AND    APPURTENANCES    FOR    ORIGINATING,    RECEIVING,
<br />    		DISTRIBUTING   AND   SUPPLYING   RADIO,    TELEVISION   AND   OTHER   CABLE
<br />    		COMMUNICATIONS,     OR    OTHER    FORMS    OF    AUDIO,     VIDEO,     DIGITAL,
<br />    		ELECTRONIC,    AND   ELECTRICAL   SERVICES   OVER,    ALONG,    ACROSS   AND
<br />    		UPON  THE  PUBLIC' S  STREETS,   WAYS,   ALLEYS,   AND   PLACES  WITHIN  THE
<br />    		CITY  OF  EVERETT.
<br />      			THE  CITY  COUNCIL  OF  THE  CITY  OF  EVERETT  DOES  HEREBY  ORDAIN
<br />    		AS  FOLLOWS:
<br />       			Section   1 :     Purpose.     This   Franchise   shall   constitute   an
<br />    		agreement   between   the   City   of   Everett   and   Everett   Cablevision,
<br />    		Inc. ,     a    Washington     corporation,     doing    business    as    Viacom
<br />    		Cablevision,    (hereinafter    the    "Franchisee" ) .      The    Franchisee
<br />    		promises      to     construct,      maintain,      and     operate      a      Cable
<br />    		Communications   System   for   the   distribution   of   television   and
<br />    		other     electronic     signals     pursuant     to     the     terms     of     this
<br />    		Franchise.       The    City    agrees    to    grant     the    Franchisee    all
<br />    		necessary   rights   and   privileges    to    use   public    rights-of-way
<br />    		necessary   for   a   Cable   Communications   System.      This   agreement
<br />    		shall ,    as   of   July   12,    1985,    if   previously   accepted   by    the
<br />    		Franchisee,     supersede    and    replace    all     existing     franchises
<br />    		previously  granted  by  the  City  of  Everett   to   the  Franchisee   or
<br />    		any  of  its  predecessors,  subsidiaries  or  affiliated  companies .
<br />      			Section   2 :     Duration   of   Franchise.     The   duration   of   this
<br />    		Franchise   shall   be   for   a   term  of   fifteen   ( 15)   years   from   July
<br />    		12,   1985,  through  ,midnight,  July  11 ,   2000.
<br />      			Section    3 :       Terms    of     the    Franchise.       This     Franchise
<br />    		granted   to   the   Franchisee,   shall   not   be   deemed   exclusive   and
<br />    		shall    not    in    any   manner    prevent    the    City    of    Everett    from
<br />    		granting   other   franchises.     The   Franchisee   agrees   to   all   the
<br />    		valid   terms ,   conditions,   requirements,   obligations,   and   duties
<br />    		as  outlined  in  Ordinance  No.   1138-85  dated  May  22,   1985,   of  the
<br />    		City   of   Everett    (hereinafter   "Cable   Communications   Regulatory
<br />    		Ordinance" ) ,   and  said  Cable  Communications  Regulatory  Ordinance
<br />    		is   hereby   incorporated   herein   by   this   reference .      Except   for
<br />    		sections   11 ,    21 ,    22,    23,    24,    26,    32   and   47,    any   rules   and
<br />    		regulations      or      amendments      to      the      Cable      Communications
<br />    		Regulatory   Ordinance   hereafter   adopted   by   the   City   shall   not
<br />    		substantially     increase     the    burden     or     obligations     of     the
<br />    		franchisee.     All   terms   used   in   this   Franchise   Ordinance   shall
<br />    		have   the   same   meaning   as   defined   in   the   Cable   Communications
<br />    		Regulatory  Ordinance .
<br />      			Section   4 :     Franchise   Area .     The   franchise   area   shall   be
<br />    		the   entire   incorporated   area   of   the   City   of   Everett,    in   its
<br />    		present     incorporated     form     or     in     any     later     reorganized,
<br />    		consolidated,  enlarged,  or  re-incorporated  form.
