98point6 CITY SUBSCRIPTION AGREEMENT This Subscription Agreement ("Agreement"), by and among 98point6 Inc., a Delaware corporation with offices located at 701 5th Avenue, Suite 2300, Seattle, Washington 98104 ("98point6"), and City of Everett, a Washington corporation with offices located at 2930 Wetmore Avenue, Suite 5, Everett, WA 98201 ("Employer"), is effective as of the date of the last signature below (the "Effective Date"). 98point6 and Employer are referred to from time to time herein, individually, as a "Party" and, collectively, as the "Parties." Recitals 98point6 operates and maintains a hosted software solution and makes available software applications that allow individuals to access and use 98point6 technology to obtain primary care services, including, having their medical questions addressed and receiving diagnoses, treatments, referrals, follow-ups, and health and wellness-related reminders. 98point6 has entered into an agreement with 98point6 Physicians PC, a Washington professional services corporation ("98point6 Physicians PC"), pursuant to which licensed physicians and other licensed medical providers provide the Medical Services (as defined in Section 1 below). The Medical Services are made available to individuals through the 98point6 technology. Employer sponsors a group health plan and wants to include access to the 98point6 technology in the health care benefits it provides to its employees and their eligible dependents. Agreement The Parties agree as follows: 1. DEFINITIONS For purposes of this Agreement, the following terms have the meanings set forth in this Section 1: "Authorization" means an individual's signed permission that complies with the HIPAA Laws and permits a covered entity or a business associate to use the Protected Health Information described in the permission for the purpose, or purposes, stated in the permission and disclose the Protected Health Information described in the permission to the recipients stated in the permission. "Eligibility File" means a set of information provided by Employer to 98point6 that lists Eligible Participants and indicates each Eligible Participant's enrollment status with any health benefit or welfare program, or programs, sponsored by Employer, including the Plan. The Eligibility File includes demographic information such as full name, date of birth, Employee iD, and Social Security Number. "Eligible Dependent" means a dependent aged one (1) year or older of an Employee who is authorized by Employer to access and use the Services. "Eligible Participant" means an Employee or an Employee's Eligible Dependent who, in each case, is authorized by Employer to access and use the Platform and Services.
