"Employee" means an employee of Employer who is enrolled to participate in one or <br /> more health benefit and welfare programs sponsored by Employer, including the Plan, whose <br /> information is included in the Eligibility File. <br /> "HIPAA Laws" means (a) the Health Insurance Portability and Accountability Act of <br /> 1996 ("HIPAA"); (b) Subtitle D of the Health Information Technology for Economic and Clinical <br /> Health Act (the "HITECH Act"), also known as Title XIII of Division A and Title IV of Division B <br /> of the American Recovery and Reinvestment Act of 2009; (c) regulations promulgated <br /> thereunder by the US Department of Health and Human Services, including the HIPAA Omnibus <br /> Final Rule (the "HIPAA Final Rule"), which amended the Privacy Rule and the Security Rule <br /> (as those terms are defined in this Section 1) pursuant to the HITECH Act, extending certain <br /> HIPAA obligations to business associates and their subcontractors, and (d) state privacy and <br /> security laws, in each case, as such laws, rules, and regulations have been and may be <br /> amended from time to time. <br /> "Marks" means the trademarks, trade names, service marks, and logo designs of a <br /> Party. <br /> "Medical Services" means the services rendered by Providers via the Platform to <br /> Participants pursuant to this Agreement. Such services may include addressing medical <br /> questions and providing diagnoses, treatments, referrals, follow-ups, and health and wellness- <br /> related reminders, in each case, as deemed necessary and advisable by 98point6 and such <br /> Providers. <br /> "Service Order" means the order pursuant to which Employer subscribes to the <br /> Services attached hereto as Exhibit,,,A. <br /> "Participant" means an Eligible Participant who completes the registration process to <br /> access and use the Services. <br /> "Participant Data" means identifiable data related to an Eligible Participant that is <br /> collected, generated, or provided to 98point6 by the Eligible Participant, or a third party <br /> acting on behalf of or at the direction of the Eligible Participant, in connection with <br /> 98point6's performance of the Services. <br /> "Plan" means Employer's self-insured or fully insured group health plan. <br /> "Platform" means, collectively, the software platform hosted, operated, and <br /> maintained by 98point6 and the mobile applications made available by 98point6 through <br /> which 98point6 makes the Technology Services and Medical Services accessible to and <br /> available for use by Participants pursuant to this Agreement, as updated, upgraded, <br /> customized, improved, adapted, or otherwise modified from time to time by 98point6. <br /> "Protected Health Information" or "PHI" means protected health information as that <br /> term is defined in the HIPAA Laws (specifically, 45 CFR§ 106.103). <br /> "Provider" means a licensed physician or other licensed medical provider of 98point6 <br /> Physicians PC or another professional services corporation or other professional limited <br /> liability entity with which 98point6 Physicians PC has entered into a contract to render <br /> licensed physician and other licensed medical provider services. <br /> Subscription Agreement 2 <br /> 20190227.v10.1 <br />
