medical conditions, and should not be considered the practice of medicine and are not <br /> the documentation of medical advice of any kind. <br /> 10.3. No Provision of Medical Insurance. Neither 98point6, Providers, nor the <br /> products and services provided by them are insurance. Neither 98point6 nor Providers <br /> are engaged in the business of insurance, and neither this Agreement nor the Service <br /> Order is, or wilt be deemed to be, a contract for insurance. The fees and other <br /> remuneration, if any, paid to or otherwise earned by 98point6 do not cover the <br /> rendering of the Medical Services, whether the Medical Services are deemed by a <br /> Participant or other third party to have been rendered by 98point6 or Providers. The <br /> fees and other remuneration, if any, paid to or otherwise earned by 98point6 cover <br /> only the design, development, hosting, operation, and maintenance of the Platform <br /> and the Technology Services made available to Participants via the Platform. The fees <br /> and other remuneration, if any, paid to or otherwise earned by Providers cover only <br /> the rendering of Medical Services to Participants by such Providers. For the avoidance <br /> of doubt, the fees and other remuneration, if any, paid by Employer to 98point6 do not <br /> cover the costs of or other expenses associated with any diagnostic tests, prescription <br /> medications, or medical devices or any specialty medical services rendered by any <br /> third party. <br /> 10.4. Medical Service Fees and Exemptions. Employer acknowledges the following <br /> concerning the costs, limitations, and exemptions for certain classes of Participants <br /> that may receive Medical Services via the Platform. <br /> 10.4.1.Participants without HSAs. For Participants that Employer indicates do <br /> not have a High Deductible Health Plan (HDHP)/Health Savings Account (HSA), the cost <br /> of receiving the Medical Service is included in the per employee-based Fees set forth <br /> in the Service Order, which will be allocated by 98point6 to Providers as necessary or <br /> advisable. Medical Services will be limited to 36 visits per non-HSA Participant per <br /> calendar year. If a non-HSA Participant reaches this limit of 36 visits, they will be <br /> charged a per-visit fee for Medical Services of $5 per visit in excess of 36 visits. The <br /> per-visit fee is subject to annual review and adjustments. <br /> 10.4,2.HSA Participants. For Participants that Employer indicates do have an <br /> HDHP/HSA, the cost of receiving the Medical Service is the fair market value (or FMV) <br /> of the Medical Services. HSA Participants will be charged a per-visit fee for Medical <br /> Services based on FMV. FMV is currently calculated at $5 per visit, subject to annual <br /> review and adjustments. However, if Employer provides an HDHP that is not coupled <br /> with an HSA, the FMV per visit fee will not apply and the Participants may receive the <br /> Medical Services in accordance with Section 10.4.1. <br /> 10.4.3.Exemptions. Any Participant who is an Eligible Participant due to their <br /> status as an enrolled student at a university or other educational institution that has <br /> entered into an agreement with 98point6 will not be subject to the terms of this <br /> Agreement. The Eligible Participant's status as an enrolled student will supersede the <br /> contractual relationship between 98point6 and Employer. Student Eligible Participant <br /> will receive Medical Services through 98point6 pursuant to the contractual agreement <br /> between 98point6 and the student's university or educational institution. <br /> 10.5.insurance Certificates. As of the Effective Date, 98point6 has delivered to Employer <br /> a copy of the Certificate of Insurance that evidences malpractice (errors and omissions) <br /> coverage for all Providers providing Services to Participants. Employer agrees that it has <br /> been provided such Certificate of Insurance and it has been accepted by Employer's risk <br /> Subscription Agreement 14 <br /> 20190227.v10 .1 <br />
