Upon written request from Employer, 98point6 will annually provide updated <br /> Certificate of Insurance for all such Providers, with coverage limits no less than those <br /> limits contained in the Certificate of Insurance originally accepted by the Employer's risk <br /> manager. <br /> 11. ADDITIONAL TERMS <br /> 11.1. Independent Contractor. Nothing in this Agreement will make Employer, <br /> 98point6, or Providers partners, co-venturers, or otherwise associated in or with the <br /> business of the other. 98point6 and Providers are and shall always remain independent <br /> contractors with respect to Employer. No Parties shall be liable for any debts, <br /> accounts, obligations, or other liabilities of another Party, its employees, or other <br /> agents. This Agreement does not authorize any Party to incur debts nor other <br /> obligations of any kind on the part of or as agent for the other except as may be <br /> specifically authorized in writing for a particular instance or an authorized series of <br /> instances. <br /> 11.2. Notice. All notices required hereunder shall be in writing and shall be delivered <br /> (a) by email; (b) by certified mail, postage prepaid, return receipt requested; or (c) by <br /> a commercial overnight courier that guarantees next day delivery and provides a <br /> receipt. Notice by email shall be sent to the email addresses set forth in this <br /> Section 11.2, and notice delivered by certified mail or courier should be sent to the <br /> addresses set forth in the introductory paragraph of this Agreement. Notwithstanding <br /> the foregoing, notices to Employer may not be by email and must be pursuant to (b) or <br /> (c) above. <br /> Notice Email for 98point6: contracts@98point6.com <br /> Notice given pursuant to this Section 11.2 shall be deemed received: (a) upon receipt of a <br /> reply email sent to the email address for the sender set forth above, other than an automated <br /> response and provided that, in the subject line of the email, the sender includes the following <br /> text "LEGAL - RESPONSE REQUIRED;" (b) two business days after sending via certified or <br /> registered mail; (c) one business day after deposit with an overnight courier service. A Party <br /> may change its address for the purpose of this Agreement by giving the other Parties written <br /> notice of its new address pursuant to the terms and conditions of this Section 11.2. <br /> 11.3. Choice of Law. This Agreement will be governed by and construed in <br /> accordance with the taws of the State of Washington, without regard to any choice of <br /> law statute, rule, or precedent that would apply the taw of any other jurisdiction. <br /> 11.4. Jurisdiction: Venue. Each Party irrevocably agrees to bring any legal action, <br /> suit, or other proceeding in any way arising out of this Agreement solely and <br /> exclusively in the state courts located in Snohomish County, Washington, and each <br /> Party irrevocably accepts and submits to the sole and exclusive jurisdiction of such <br /> courts, generally and unconditionally, with respect to any action, suit, or proceeding <br /> brought by it or against it by the other Party. Each Party hereto agrees that service of <br /> process from such court shall be delivered in accordance with Washington state law. <br /> 11.5. Entire Agreement. This Agreement, together with all exhibits referenced <br /> herein, constitutes the complete and integrated agreement between the Parties <br /> concerning the subject matter hereof.
