to property that may have been caused by a Program participant to <br /> property owned by CVPC. The second type of claim that is excluded <br /> from the indemnity and hold harmless agreement is a claim for damages <br /> asserted by a Program participant against CVPC for failure to adequately <br /> maintain the property or building of CVPC (i.e. slip and fall claims). <br /> c. Interfaith Family Shelter agrees to at all times maintain such a Commercial <br /> General Liability Insurance as CVPC, in its sole discretion, deems <br /> adequate and satisfactory, and to forthwith provide CVPC a complete and <br /> up-to-date copy of such policy. The Commercial General Liability <br /> Insurance policy to be maintained by Interfaith Family Shelter shall <br /> include coverage for bodily injury, property damage, and contractual <br /> liability of any kind or nature arising out of the operation of the Program, <br /> and shall have the following minimum policy limits: Each Occurrence <br /> $1,000,000; General Aggregate $2,000,000. CVPC, its directors, officers, <br /> employees, members, and agents shall be named as additional insured on <br /> the insurance policy; Interfaith Family Shelter shall provide CVPC a <br /> Certificate of Insurance attesting to such policy limits and the naming of <br /> he above-specified parties as additional insureds. <br /> d. If any suit or other proceeding is instituted by either party to the MOU <br /> arising out of or pertaining to this MOU, including appeals and <br /> collateral actions relative to such suit, the substantially prevailing party <br /> as determined by the court shall be entitled to recover reasonable <br /> attorneys' fees and all costs and expenses incurred relative to the suit <br /> from the substantially non-prevailing party, in addition to any other <br /> available relief. <br /> e. The obligation set forth in the four preceding paragraphs shall survive the <br /> termination of the MOU and the termination of the Program at CVPC's <br /> property. <br /> Cascade View Presbyterian Church Responsibilities: <br /> 1. Provide up to five parking places in their church parking lot; identify <br /> spaces with signs or other identifying marks; <br /> 2. Make modifications needed to provide access to grounds; <br /> 3. Maintain church's voice message to direct-callers to the phone number set <br /> up by Interfaith Family Shelter, Street Outreach, 211, or 911; <br /> 4. Develop and update Code of Conduct with input from Interfaith Family <br /> 4 <br />
