of the courses,the City shall inform the Contractor. The Contractor shall have a <br /> reasonable opportunity to counsel and work with said employee to improve job <br /> performance and behavior. If the Contractor's employee continues to be <br /> unsatisfactory to the City, the City shall inform the Contractor and the <br /> Contractor shall remove the employee from assignment to either course. <br /> d. The Contractor shall comply with all applicable state and federal labor laws. <br /> The Contractor shall at all times defend, indemnify, and hold the City, its <br /> officers, employees and agents free, clear and harmless from all actions, claims, <br /> demands, and expenses arising out of said laws, and rules and regulations that <br /> are or may be promulgated in connection therewith. <br /> e. The Contractor's employees shall conform to all rules, regulations policies and <br /> procedures now in force in the business of the City, as well as all rules, <br /> regulations policies and procedures as hereafter may be promulgated or placed <br /> into operation by the City. The Contractor will assist the City in the <br /> enforcement of such rules and regulations. <br /> f. The Contractor agrees to be responsible for all acts, omissions or commissions <br /> of its employees. Any and all claims that may or might arise on behalf of said <br /> employees or the Contractor,while so engaged, or any and all claims made by <br /> a third party as a consequence of any negligent act or omission on the part of <br /> the Contractor or its employees,while so engaged on any work or services <br /> provided under the terms of this Contract, shall be the sole obligation and <br /> responsibility of the Contractor. <br /> g. The Contractor shall not permit the use of loud,vulgar or profane language, <br /> boisterous or lewd or immoral conduct in or about buildings and the courses by <br /> its employees or the general public. The Contractor shall immediately contact <br /> the City's Police Department and report the presence of any disorderly persons. <br /> h. The Contractor shall also ensure that neither the Contractor nor its employees <br /> shall engage in either religious or political activity while on duty at the courses. <br /> i. The Contractor hereby expressly assumes all responsibility for any act done by <br /> its employees, and the Contractor expressly agrees that it will defend, save <br /> harmless, and indemnify the City, its officers, employees and agents against any <br /> loss or expense, claim or claims,action or actions, injuries or damages arising <br /> from any act done by the Contractor's employees or from any loss or expense, <br /> claim or claims, action or actions, injuries or damages arising from the <br /> Contractor's employees when acting or allege to have arisen with their scope of <br /> employment whether on or off site;provided however, "scope of employment" <br /> shall include all acts of the employees which are directly or indirectly related to <br /> or arise from their employment. <br /> 3.
