LE LOEB <br /> ELECTRIC <br /> 1.4 Deductions and Chargebacks <br /> It is vital the VEEC follows all instructions and guidelines outlined in this Scope of Work to avoid <br /> unnecessary return trips and/or deductions to final payment.VEEC is considered the technical lead of the <br /> program.It is the responsibility of the VEEC to follow up on requested documentation/updates in a timely <br /> manner. Missing deliverables, no shows, missed deadlines, etc. may result in financial deductions or <br /> charge backs as outlined in the service agreement. In addition to providing a timely invoice (30 days of <br /> completion) will result in additional deductions. Any outages moving due to VEEC fault for parts or <br /> manpower will be subject to deductions. Any deviation from agreed upon scope following scope review <br /> will be subject to deductions. <br /> • Project Deliverables: <br /> 0 10% deduction from total invoice amount for failure to provide pre-install deliverables that <br /> result in a missed deadline, failure to provide post-install deliverables, or for failure to submit <br /> final invoices as outlined in this scope of work. <br /> • Scheduled Installations and Delayed Turnovers: <br /> 0 20% deduction from total invoice amount for failure to perform the installation at the scheduled <br /> time and date, or failure to complete the installation on time and turning over the facility in an <br /> operational state at the planned time. Applicable to delays that are caused by the contractor; <br /> delays due to customer-driven issues or out of scope work required during the installation are <br /> exempt. <br /> 1.5 Inconveniences Caused by Others <br /> Amazon will practice due diligence to ensure the project runs smoothly; however, mistakes may occur. If or more of <br /> the below happen,these charges may be added and submitted at the time of final invoicing but must be <br /> communicated to Loeb at the time of occurrence. This section outlines any fees that the VEEC or Electrical <br /> Contractor (EC) may apply to work orders in accordance with their signed proposals: <br /> • If the VEEC and/or EC arrives onsite to perform scheduled work and the work is cancelled, the <br /> VEEC and/or EC may charge (if necessary) for the time scheduled if no replacement work can be <br /> found. If work is staffed and an apparatus can't be made accessible by the customer, time may <br /> be charged for staffing provided.If enough notice (72 hours) is given to VEEC and/or EC when <br /> canceling scheduled work, no additional costs may be charged. <br /> • Delays beyond the control of the VEEC and/or EC, and authorized additional work, can be <br /> charged in accordance with rates outlined in the award agreement. <br /> • If the agreed upon outage duration is exceeded by greater than (2) hours and the root cause of <br /> delay can be directly attributed to site or utility (at the discretion of Loeb), contracted parties <br /> can charge in accordance with rates outlined in the award agreement. <br /> 1.6 Overall Program Responsibilities and Ownership <br /> • Loeb <br /> o Overall Success of the Program <br /> o Provide professional project management services <br /> o Single point of contact as a liaison of communication for all stakeholders <br /> o Coordination with utility companies <br /> o Selection of qualified electrical contractors and VEEC for installation <br /> o Procurement and logistics of labor and material (Arc flash relay, CTs and IR windows). <br /> o Identify opportunities for modernization and risk reduction within the electrical equipment. <br /> o Purchase order delivery <br /> ■ Partial PO eight weeks prior to outage for VEEC to secure miscellaneous parts for outage <br /> 121 Page <br />
