A. At NWS's request, the City will provide a location on the exterior of the Ballfield <br /> Property for NWS to install a sign. This sign must be preapproved by the City and such <br /> approval is at the City's sole discretion. NWS shall not place any other signs or other <br /> displays visible from outside of the Ballfield Property, without first obtaining the consent <br /> of the City, which may be withheld in City's sole discretion. <br /> B. Any co-branded marketing materials and online collateral must be approved by City <br /> communications department before being published. <br /> C. No sponsorship signage may be sold or displayed without first obtaining the prior written <br /> approval of the City, Parks & Facilities Director or designee, which is at such person's sole <br /> discretion. Some examples of what will not be approved: signage that endorses products <br /> that are obscene, libelous, political, religious, or that endorses alcohol or drugs. <br /> 4. Concessions: <br /> A. All items sold must be appropriate for sale in a public park. No alcoholic beverages or <br /> drugs can be sold or consumed on Ballfield Property. If NWS sells food and beverages, <br /> NWS will maintain all required licenses. <br /> B. The City is not responsible for lost, stolen, damaged or unsold inventory. <br /> C. NWS may enter into subcontracts for subcontractors to provide concessions on the <br /> Ballfield Property. Each subcontract must provide that the subcontract automatically <br /> terminates when this Agreement terminates. Prior City approval of subcontractors or <br /> subcontracts is not required. However, all subcontractor staff must have a valid <br /> Washington State Patrol background check performed annually, and subcontractor staff <br /> must meet City eligibility requirements regarding Washington State Patrol background <br /> check information. <br /> 5. Inventory and Inspections: <br /> NWS will maintain an inventory of all Kasch Park Ballfield Complex, Field 1-4 equipment and <br /> supplies. The initial inventory list of City-owned items is Exhibit E to the Agreement. The <br /> Agreed Service Plans will update Exhibit E as necessary. The items on Exhibit E will remain <br /> the property of the City. No such items may be removed from Ballfield Property without City <br /> written approval. NWS acknowledges that unneeded City property can only be disposed of <br /> by a City surplus process. The City will not replace the items shown in Exhibit E when they <br /> are no longer usable. Replacement will be the responsibility of the NWS. Except to the extent <br /> specifically provided otherwise in a current Agreed Service Plan, NWS is responsible at NWS's <br /> cost for the maintenance and repair of City-owned property shown in Exhibit E to this <br /> Agreement. <br /> 6. Storage: <br /> The City Parks & Facilities Director, or designee may allow from time to time NWS to store <br /> NWS's property on the Ballfield Property or elsewhere in Kasch Park. Such storage is at <br /> NWS's sole risk. <br /> 7. Record keeping: <br /> Exhibit B-2 <br />
