Docusign Envelope ID:24F4D92F-AOF1-464F-B60B-F16AO31867A7 <br /> LEGAL TERMS <br /> Continued from page 2 <br /> SECTION 5-DISPUTES AND REMEDIES: If a dispute should arise between the Parties,the Parties shall promptly meet and attempt in good faith <br /> to resolve it.Openness,fairness and good faith are required of both Parties.Any unsettled disputes between the Parties shall be decided by an action <br /> filed in an appropriate court of jurisdiction.If suit is filed in a superior court,the suit shall be decided according to the Mandatory Arbitration Rules(MAR) <br /> regardless of the amount in dispute.The MAR Arbitrator shall have the authority to determine the validity or enforceability of any lien,and the Parties <br /> mutually agree to accept the Arbitrator's award as final and binding,and waive any right to trial de novo with any appeal limited to those described in RCW <br /> 7.04. In the event a dispute or lawsuit arises and one or both Parties seek and receive the assistance of legal counsel,the prevailing party shall be paid his <br /> or her attorneys'fees and costs by the non-prevailing party. <br /> SECTION 6-WARRANTY ON WORKMANSHIP:Contractor warrants that all workmanship will be performed in a manner so as to prescribe to the <br /> standards and recommendations as established by the Uniform Building Code(UBC)/International Building Code(IBC)/International Residential Code <br /> (IRC),the National Roofing Contractors Association(NRCA)"Roofing and Waterproofing manual",the"Asphalt Residential Roofing Manual",and the <br /> applicable Asphalt Shingle Manufacturer's and Cedar Shake/Shingle Manfacturer's Product Installation specifications and recommendations.The materials <br /> used may be covered by the applicable manufacturer's warranty.The Contractor makes no material or product warranties whatsoever.The manufacturer's <br /> material or product Warranty Document will be provided to the Customer by the Contractor at the completion of the project.Workmanship warranty is <br /> transferable for a period of twelve(12)months beyond the sale of the property by the original Customer.THIS WARRANTY IS GIVEN IN LIEU OF ANY <br /> EXPRESSED OR IMPLIED WARRANTIES OTHERWISE PROVIDED UNDER THE LAWS OF WASHINGTON, INCLUDING ANY WARRANTIES OF <br /> FITNESS,MERCHANTABILITY OR HABITABILITY.Any warranty work performed by the Contractor does not extend the warranty from the date of the <br /> final invoice/billing.This warranty shall be void if a person or firm other than the Contractor performs or re-performs any work identified within the original <br /> Agreement with the Contractor. Failure by the Customer to provide final and complete payment as agreed upon no longer than fifteen(15)calendar days <br /> beyond the final invoice date will result in the Workmanship Warranty Coverage being discontinued and no longer applicable to the project. <br /> SECTION 7-PREMISES:At the completion of the work,the Contractor shall remove all waste materials from the site on re-roofing and construction <br /> projects.On projects involving installation of a new roof on new construction,the Contractor will not remove waste materials from the site,these materials <br /> to be removed by the general contractor.On the re-roofing projects,the Contractor will perform only a limited review of the roof structure's integrity <br /> including the wood deterioration and/or structural support.The Contractor offers no guarantee or warranty that wood deterioration will be discovered or <br /> structural inadequacies identified.The Customer is encouraged to contact an independent roofing inspector for determination of a complete scope of work <br /> for the contractor to perform.On re-roofing projects,the Contractor may remove skylights,vents,satelite dishes,television antennae, HVAC equipment, <br /> etc.in order to repair and for install the roof.The Contractor is not responsible for damage or breakage to any of these items,especially skylights which <br /> become brittle and easily breakable over the years. The Contractor will exercise normal care in removing and replacing these items,but is not responsible <br /> for damage,breakage or inadequate receptions following re-installation of satelite dishes,television antennae,etc.The Customer should review its <br /> insurance policy details for breakage and coverage. <br /> SECTION 8-HAZARDOUS MATERIALS:The Contractor is not responsible for the discovery and removal of asbestos or other hazardous waste or <br /> materials at the project site.If asbestos or other hazardous waste or materials are discovered during the course of the project execution, the Contractor <br /> shall promptly notify the Customer who shall then notify the applicable governing authority.The Customer has complete responsibility to make contact with <br /> a certified hazardous waste/material removal contractor in order to perform all asbestos or hazardous waste/material removal and disposal. <br /> Initial <br /> DS <br /> page 4 <br />
