I <br /> 1 shutoff at the scheduled time, the Contractor shall reschedule its work to meet the new <br /> I 2 condition. <br /> 3 <br /> 4 Final grading to subgrade and subgrade preparation in those areas disturbed by the <br /> 5 utilities companies shall be the responsibility of the Contractor and considered incidental <br /> 6 to the street construction and no additional compensation will be paid. <br /> 7 <br /> I 8 The Contractor shall cooperate with the utility companies and/or their subcontractors and <br /> 9 so conduct its operations that the necessary construction of their facilities can be <br /> 10 accomplished to the mutual satisfaction of the City of Everett and the utility companies. <br /> Ill <br /> 12 1-05.16 Water and Power <br /> 13 <br /> 14 The Contractor shall make necessary arrangements, and shall bear the costs for power and <br /> I <br /> 15 water necessary for the performance of the work, unless the contract includes power and water <br /> 16 as a pay item. <br /> 17 <br /> I 18 1-05.17 Oral Agreements <br /> 19 <br /> 20 No oral agreement or conversation with any officer, agent, or employee of the Contracting <br /> I 21 Agency, either before or after execution of the contract, shall affect or modify any of the terms or <br /> 22 obligations contained in any of the documents comprising the contract. Such oral agreement or <br /> 23 conversation shall be considered as unofficial information and in no way binding upon the <br /> I 24 Contracting Agency, unless subsequently put in writing and signed by the Contracting Agency. <br /> 25 <br /> 26 1-05.18 Contractor <br /> I 27 <br /> 28 1-05.18(1) Contractor's Representative <br /> 29 <br /> I 30 The Contractor shall notify the Owner in writing of the name of the person who will act as <br /> 31 the Contractor's representative and shall have the authority to act in matter relating to <br /> 32 this Contract. This person shall have authority to carry out the provisions of the Contract <br /> 33 and to supply materials, Equipment, tools and labor without delay for the performance of <br /> I 34 the work. <br /> 35 <br /> 36 Contractor shall employ and keep on site on a full time basis personnel experienced in <br /> I 37 the management of construction of Projects of this size and type. These shall include, <br /> 38 but not be limited to, a Project Manager and Superintendent. Neither the Contractor's <br /> 39 Project Manager nor the Superintendent shall have supervisory responsibility for any <br /> I 40 other Project for the Contractor while assigned to this Project. Contractor shall employ <br /> 41 and assign such additional, full time office, support and engineering personnel to support <br /> 42 the Project Manager and Superintendent and allow timely completion of the Project. The <br /> 43 Project Manager and Superintendent must be approved by the City, and such approval <br /> 44 shall not be unreasonably withheld. Contractor shall submit personnel qualifications <br /> 45 within ten (10) days of Contractor's execution of the Contract. Bases for disapproval <br /> 46 include, but are not limited to, lack of sufficient experience managing the construction of <br /> I47 similar type or size Projects or relationships on other Projects unsatisfactory to the City. <br /> 48 City may require removal and replacement of Contractor's supervisory staff who are <br /> 49 disruptive or who appear to lack sufficient competence to complete the Project <br /> I 50 successfully. <br /> 51 <br /> I <br /> iRIVERFRONT DEVELOPMENT NORTH WETLAND COMPLEX 35 <br />
