the lead agency responsible for design and implementation of the Project. The Parties agree to negotiate and enter an addendum to this Agreement(or separate agreements) covering lead status for right-of-way acquisition and construction of this Project. 4.3 Designated Representatives To help ensure effective cooperation and efficient Proj`ect-review, each of the Parties shall designate a representative ("Designated Representative")responsible for communications between the Parties and for acting as a central point of contact for the Project. The Designated Representatives are responsible for helping to ensure the Parties' Recitals, Purpose, and Goals and Principles, stated above, and the schedule objectives and budget are met. Each Designated Representative is also responsible for coordinating the various jurisdiction, agency, or department staff members as it relates to the scope of this Agreement. The Parties reserve the right to change Designated Representatives, with notice to the other Party, as the Project progresses through. Attachment A, which is incorporated by reference herein,provides Designated Representatives titles, telephone numbers, fax numbers, and E-mail addresses. This list will be updated via addendum as necessary; any such addendum shall not constitute a material change to this Agreement (see Section 16) and therefore shall not require authorization by each Party's legislative body. 4.4 Project Management Team The Parties will work through a Project Management Team made up of the Designated Representatives and their co-agency staff The Project Management Team will discuss and finalize the design objectives for the Project, consistent with the budget and schedule. The Project Management Team will schedule additional meetings with Project staff and consultants as needed. Sound Transit will lead the Project Management Team effort, and will provide meeting summaries to the Project Management Team in a timely manner. 4.5 Clear Lines of Authority within Agencies Each Party will establish clear lines of authority within its organization and identify staff members within each department/division who will provide technical/professional expertise and approvals. The Parties will provide a list of Departmental/Divisional Representatives to the Project Management Team. These Divisional/Departmental Representatives shall be responsible to their respective Designated Representative,providing technical/professional expertise and input to support the Project. These Departmental/Divisional Representatives are responsible for coordinating their department/division's involvement with the Project and working through the Designated Representative to help ensure that the Project objectives, including the schedule and budget objectives, are met. 4 s. tl
