12 <br /> 4. Rent, Additional Rent and Tenant Improvement Reimbursement Due <br /> On or before the first day of each month, Workforce shall pay City without notice the Rent stated in <br /> §1 (Rent,Additional Rent and Tenant Improvement Reimbursement) for the prior month, and any <br /> other additional payments due under this Lease without deduction or offset in lawful money of the <br /> United States. Payment shall be made at City's Notice Address set forth in § 31.I (Notice <br /> Addresses)hereof, or to such other party or at such other place as City may hereafter from time to <br /> time designate in writing. Rent and Additional Rent for any partial month at the beginning or end of <br /> the Lease term shall be prorated. Additional Rent shall be paid to the Lessor on a quarterly basis. <br /> Within forty-five days after the end of each quarter,the Lessor shall provide a statement (the <br /> "Statement") showing the amount of Additional Rent incurred. <br /> 5. Adjustment of Rent <br /> As used herein, the term"Lease Year"means a twelve-month period commencing on the first day of <br /> the first calendar month following the Commencement Date. The Rent shall be adjusted at the end <br /> of each Lease Year during the initial or any renewal term as provided in this section. The Rent to be <br /> paid during any Lease Year following the initial Lease Year(whether in the initial or any renewal <br /> term) shall be determined by multiplying the Rent paid during the preceding Lease Year by the <br /> Adjustment Factor. The Adjustment Factor shall be the larger of one (1)or the result obtained by <br /> dividing the Adjusted CPI-U by the Base CPI-U. <br /> Adjusted CPI-U = the CPI-U last officially published prior to the end of the immediately <br /> preceding Lease Year. <br /> Base CPI-U= the CPI-U last officially published prior to the beginning of the <br /> immediately preceding Lease Year. <br /> CPI-U shall mean the Consumer Price Index for All Urban Consumers, issued by the United States <br /> Department of Labor, Bureau of Labor Statistics, Washington, D.C., for the metropolitan area in <br /> which the Premises are located or to which they are closest in proximity, all items, 1985=100. The <br /> CPI-U numbers used shall be the CPI-U numbers last officially published, as provided above, <br /> whether such numbers have been published on a monthly, bi-monthly, quarterly, semi-annual, or <br /> annual basis. <br /> If the CPI-U, series 1985=100, is no longer officially published at the time of rental adjustments, <br /> such series of numbers nevertheless will be used for adjustment of rent under this lease by the use of <br /> conversion tables supplied by the Bureau of Labor Statistics. <br /> If official publication of the CPI-U number that would otherwise be used pursuant to this Agreement <br /> has been delayed and not published as of the first day of the Lease Year for which the adjusted <br /> minimum rent is being determined, then,in the interim,until such CPI-U number is officially <br /> published, Workforce shall continue to pay Rent as paid in the preceding Lease Year. When such <br /> CPI-U number is officially published, the determination shall be made as though such CPI-U had <br /> been officially published as of the beginning of such Lease Year, and the adjusted minimum rent so <br /> determined shall be applied retroactively and prospectively for the remainder of such Lease Year. <br /> Page 5 of 21 <br />
