However,until the City completes its SEPA review of the <br /> Project as provided in Section 5,Sound Transit will only reimburse the <br /> City for fees and costs associated with environmental review and <br /> preliminary engineering. <br /> 9.3.2 Property Acquisition <br /> Sound Transit shall reimburse the City a maximum of one million dollars <br /> ($1,000,000) for property acquisition expenses it incurs associated with <br /> the Project, including fee acquisition, appraisals, consultant negotiations, <br /> title reports, ALTA surveys, and environmental site assessments. <br /> 9.3.3 Invoices and Payment <br /> The City shall submit invoices to Sound Transit for reimbursement <br /> payments authorized by this Agreement not more frequently than once per <br /> month. Sound Transit shall provide reimbursement payments to the City <br /> within 30 calendar days of receipt of a properly completed invoice <br /> documenting the expenditures incurred. <br /> 9.3.4 Return of Reimbursement Payments for Matching Funds <br /> In event that the Project is not completed by December 31, 2009, and FTA <br /> requires the City to reimburse FTA Grants expended on the Project, Sound <br /> Transit is entitled to seek reimbursement from the City for its <br /> corresponding local match to the reimbursable FTA Grants received by the <br /> City as described in Section 9.3.1. <br /> 9.3.5 Return of Reimbursement Payments for Property Acquisition <br /> Expenses <br /> In the event that the Project is not completed by December 31, 2009 and <br /> the City has acquired property for which the City has been reimbursed by <br /> Sound Transit as described in Section 9.3.2,the City and Sound Transit <br /> shall determine the feasibility of a finished Project and, if mutually <br /> acceptable to both Parties, establish a new timeline for completion of the <br /> Project by amending this Agreement. If the Parties cannot reach <br /> agreement on a new timeline within thirty(30) days after December 31, <br /> 2009,the City shall initiate sale of the acquired property. If the gross <br /> property sale amounts to less than the reimbursement under Section 9.3.2, <br /> the City shall remit to Sound Transit all of the proceeds from the sale of <br /> the property. If the gross property sale amounts to more than the <br /> reimbursement under Section 9.3.2,the City shall remit to Sound Transit <br /> the amount reimbursed under Section 9.3.2. <br /> 7 <br /> 31 <br />
