AMENDMENT <br /> 5.1 Amendment. Either Party may request changes to the provisions of this Agreement. <br /> Any such changes must be mutually agreed upon and incorporated by written amendment to <br /> this Agreement. No variation or alteration of the terms of this Agreement shall be valid unless <br /> made in writing and signed by authorized representatives of the Parties hereto prior to <br /> beginning any Work to be covered by any amendment. <br /> 6. DISPUTE RESOLUTION <br /> 6.1 Disputes and Remedies. The Parties, through their designated representatives <br /> identified in Section 4.1 of this Agreement, shall use their best efforts, through good faith <br /> discussion and negotiation, to resolve any disputes pertaining to this Agreement that may arise <br /> between the Parties. If these designated representatives are unable, after good faith efforts, to <br /> resolve a dispute, the STATE's Puget Sound Public Transportation Manager and the <br /> COUNTY'S Metro Transit General Manager shall review the matter and attempt to resolve it. If <br /> they are unable to resolve the dispute, the STATE's Public Transportation Assistant Director <br /> and the COUNTY'S DOT Deputy Director will meet and engage in good faith negotiations to <br /> resolve the dispute. In the event they cannot resolve the dispute, the STATE's Public <br /> Transportation Director and the COUNTY'S DOT Director will meet and engage in good faith <br /> negotiations to resolve the dispute. The Parties agree to exhaust each of these informal dispute <br /> resolution efforts before seeking to resolve disputes in a court of law or any other forum. <br /> 7. ACCOUNTING RECORDS <br /> 7.1 Project Accounts. The COUNTY agrees to establish and maintain for the Task Order <br /> Work either a separate set of accounts or separate accounts within the framework of an <br /> established accounting system that can be identified with the Work. The COUNTY agrees that <br /> all checks, payrolls, invoices, contracts, vouchers, orders, or other accounting documents <br /> pertaining in whole or in part to the Work shall be clearly identified, readily accessible and <br /> available to the STATE upon its reasonable request, and, to the extent feasible, kept separate <br /> from documents not pertaining to the Work. <br /> 7.2 Documentation of Project Costs and Program Income. The COUNTY agrees to <br /> support all allowable costs charged to the Work, including any approved services contributed by <br /> the COUNTY or others, with properly executed payrolls, time records, invoices, contracts, or <br /> GCA 6141 Master Agreement for TDM Work by King County Page 5 of 10 <br />
