15 <br />CTTY OF EVERETT <br />PROFESSIONAL SERVICES AGREEME`1'r <br />TEIIS AGREEMEN'I' Q►ade and entered into on this _�Y of <br />_, 1997, by and <br />becween the City of Everett, a municipal corpomtion under the laws of the State of WashinStan, <br />hereinafter referred to as the "City," and HDR Engineering Inc, whose address is 500 lO8th Ave. <br />N.E., suite 1200 Bellewe, Wa., hereinafter refeaed to as the "Contractor." <br />WHEREAS, the City desires to engage the Contractor to design upgrades for lift stations #7 and <br />#8 for the City of Everett; and <br />WI-1EREAS, the Contractor has agreed to offer its professional services to design upgrndes for <br />lift stations �7 and #3; and <br />WHEREAS, Contractor has represented and by entering into this Agreement now represents that <br />it is fully qualified to perform the work to which it will be assigned in a competent and <br />professional manner to the standazds required by the City; <br />NOW, THEREF�RE� �e P�es herein do mutually agree as follows: <br />1, Retention of Contractor. The City hereby agrees to engage the Contractor and the <br />Contractor hereby agrees to perfomt the attached Exhibit A-"Scope of Work". <br />2, pwnershio of Documents. Repores, dra%vings and specifications shall be and remain for <br />atl urposes the property of the City, whether the project for which they aze made is <br />P <br />executed or not, and may be used by the City for any purpose. Reuse is City's sole risk <br />and City shall indemnify Contractor for any claims arising out of such reuse and City <br />assumes full responsibility for such reuse. <br />69 <br />��� � <br />
