• 6 <br /> The City reserves the right to reject any and all proposals and to waive any immaterial defects and <br /> irregularities in proposals and to award any one or more items to any one or more Proposers. <br /> 2.12 Disposition of Proposals <br /> All materials submitted in response to the RFP, including samples, shall become the property of the City <br /> upon delivery to the City. <br /> 2.13 Incorporation of RFP and Proposal in Agreement <br /> This RFP, including all attachments and addenda,and all promises,warranties,commitments and <br /> representations in the successful Proposal shall be binding and shall become obligations of the agreement. <br /> 2.14 Timely Execution of Contract Required <br /> The Successful Proposer must execute a Contract with the City for the provision of the services subject to and <br /> incorporating the terms of this RFP within ten(10)days after receipt of the final form of the Contract. <br /> 2.15 Legal Disputes <br /> In submitting a proposal,the Proposer agrees that in the event of litigation concerning or arising out of the <br /> above-referenced Contract or any proposals submitted in response to this RFP,the sole venue of any legal <br /> action shall be Snohomish County Superior Court,and the law governing the interpretation of said Contract <br /> shall be Washington law. <br /> 2.16 Indemnification <br /> In submitting a proposal,the Proposer agrees to indemnify and hold the City harmless of all liability, risks, <br /> costs, claims, actions, suits, demands, losses,expenses, injuries and damages of any kind, arising directly or <br /> indirectly out of, or in connection with,the City's handling of the RFP process, including but not limited to,the <br /> rejection of any or all proposals. <br /> 3.0 RFP Specifications <br /> 3.1 City's General Expectation <br /> The City of Everett seeks to secure reliable and responsive vehicle towing, impoundment and related services <br /> for vehicles requested to be towed or ordered impounded by the Everett Police Department("EPD")or Motor <br /> Vehicle Division("MVD")at the most competitive rates available. <br /> 3.2 Categories of Services <br /> The Proposer must show demonstrated ability to respond to the City's needs for tows and propose rates for the <br /> following services: <br /> 20 <br />
