6 <br /> AMENDMENT <br /> PROFESSIONAL SERVICES AGREEMENT <br /> CITY OF EVERETT AND HARMSEN & ASSOCIATES, INC. <br /> DATED APRIL 14, 2006 <br /> WHEREAS,this Professional Services Agreement(Agreement)has a termination date <br /> of April 18, 2007; and <br /> WHEREAS, certain tasks called for in the Agreement have not been completed, and <br /> other tasks need be revised and some deleted; <br /> WHEREAS,the compensation for those tasks remaining and changed needs to be <br /> redefined and the total compensation needs to be re-specified; <br /> NOW, THEREFORE,the parties herein do mutually agree as follows: <br /> 1. Paragraph 3 of the Agreement, Time of Completion of Performance is hereby <br /> amended to specify the time of completion as June 29, 2007. <br /> 2. Exhibit A, as referred to in paragraph 2 of the Agreement and elsewhere, is <br /> hereby amended to be "Exhibit A-1 Amended Scope of Work" and is attached <br /> hereto. <br /> 3. Exhibit B, as referred to in paragraph 4. B. of the Agreement and elsewhere, is <br /> hereby amended to be "Exhibit B-1 Amended Compensation" and is attached <br /> hereto. <br /> 4. Paragraph 4.D., Compensation, is hereby amended to read: "Total <br /> compensation, including all services and expenses shall not exceed a <br /> maximum to Fifty Four Thousand, Eight Hundred Thirteen Dollars <br /> ($54,813.00)." <br /> 5.
