AGREEMENT FOR SALE OF FEDERAL EMPLOYEE PASSES BETWEEN KING COUNTY, <br /> 3- SNOHOMISH COUNTY PUBLIC TRANSPORTATION AREA,SOUND TRANSIT,PIERCE <br /> COUNTY PUBLIC TRANSPORTATION BENEFIT AREA CORPORATION,CITY OF <br /> EVERETT,WASHINGTON STATE FERRIES,KITSAP TRANSIT,AND UNITED STATES <br /> DEPARTMENT OF TRANSPORTATION <br /> This Agreement(hereinafter,"Agreement")is made and entered into by and among King County(hereinafter <br /> individually,"KING COUNTY"),Snohomish County Public Transportation Benefit Area(hereinafter individually, <br /> "COMMUNITY TRANSIT"),Sound Transit(hereinafter individually,"SOUND TRANSIT"),Pierce County Public <br /> Transportation Benefit Area Corporation(hereinafter individually,"PIERCE TRANSIT"),City of Everett <br /> (hereinafter individually,"EVERETT TRANSIT"),Washington State Ferries,a division of Washington State <br /> Department of Transportation,(hereinafter individually,"WASHINGTON STATE FERRIES"),Kitsap Transit <br /> (hereinafter individually,"KITSAP TRANSIT"),or collectively referred to(hereinafter,as"TRANSPORTATION <br /> PARTIES"),and United States Department of Transportation(hereinafter,"THE FEDERAL GOVERNMENT"). <br /> RECITALS <br /> A. THE FEDERAL GOVERNMENT and TRANSPORTATION PARTIES share the desire to provide a <br /> • comprehensive transportation pass program that will reduce single occupant vehicle(SOV)commute trips and <br /> improve the mobility of THE FEDERAL GOVERNMENT employees. <br /> B. TRANSPORTATION PARTIES are authorized to provide public transportation and generally promote <br /> alternatives to SOV commuting in King County,Snohomish County,Pierce County,and Kitsap County. <br /> C. THE FEDERAL GOVERNMENT has a desire to provide incentives and benefits to its employees,which <br /> promote non-SOV commuting to its worksite. <br /> D. THE FEDERAL GOVERNMENT and TRANSPORTATION PARTIES desire to continue to provide a single <br /> pass that can be used to access a variety of services and benefits,which enable THE FEDERAL <br /> GOVERNMENT employees to commute,by non-SOV modes. <br /> AGREEMENT <br /> NOW,THEREFORE, in consideration of the terms,conditions and covenants herein contained,the sufficiency of <br /> which is hereby acknowledged,the parties hereto agree to the following. <br /> 1. PURPOSE <br /> 1.1 Purpose <br /> This Agreement establishes a cooperative arrangement between TRANSPORTATION PARTIES and THE <br /> FEDERAL GOVERNMENT for sale and distribution of Federal Employee Passes to THE FEDERAL <br /> GOVERNMENT's Eligible Employees at the rates set forth herein. <br /> 2. DEFINITIONS <br /> 2.1 Eligible Employees <br /> Eligible Employees shall mean only those regular full-time and part-time employees who are employed by the United <br /> States Government,through any of its agencies and departments,at worksites located in King County,WA. <br /> 2.2 Federal Employee Pass Card <br /> A Federal Employee Pass Card is a pass of predetermined duration that allows each Eligible Employee to choose <br /> from a variety of non-SOV commute options provided by THE FEDERAL GOVERNMENT or <br /> TRANSPORTATION PARTIES. Each Federal Employee Pass Card shall bear the inscriptions"Puget Pass", <br /> Federal Employee Pass,each TRANSPORTATION PARTIES' logo,and beginning and expiration dates in a design <br /> and color scheme mutually agreed upon by TRANSPORTATION PARTIES and THE FEDERAL GOVERNMENT. <br /> 8 Federal Employee Pass Agreement Page I of 18 <br /> US Department of Transportation <br /> Oct. 1.2008—Sept. 30.2009 <br />
