8 CITY OF EVERETT <br /> AMENDMENT NO. 2 <br /> The City of Everett and RoseWater Engineering Inc. agree to amend and modify their <br /> professional services agreement dated January 16, 2007 (the"Agreement") as follows: <br /> WHEREAS, RoseWater and the City entered into an agreement dated January 16, 2007 to <br /> provide engineering services for the City of Everett Shore Avenue Stormwater Outfall; and <br /> WHEREAS, the City of Everett and RoseWater Engineering have experienced delays in working <br /> with Burlington Northern Santa Fe Railroad on the Shore Avenue Stormwater Outfall; and <br /> WHEREAS, the City of Everett and RoseWater Engineering agree to amend their Agreement to <br /> extend the time of completion from January 31, 2009 to January 31, 2011; and <br /> WHEREAS RoseWater Engineering has merged with GHD, Inc., doing business as RoseWater <br /> GHD; <br /> NOW THEREFORE, the City of Everett and RoseWater GHD agree to amend and modify the <br /> Agreement as follows: <br /> 1. References to the Service Provider is amended to read"RoseWater GHD". <br /> 2. Paragraph 3 of the Agreement is amended to read as follows: <br /> Time of Beginning and Completion of Performance. This Agreement shall commence <br /> as of the date of execution of this Agreement and shall be completed by January 31, 2011. <br /> 3.
