6.6 Ownership of Project Materials. With the exception of data, all <br /> finished or unfinished documents, studies, surveys, drawings, models, <br /> photographs, films, duplicating plates, computer disks and reports <br /> prepared by the Contractor under this Agreement shall be for the <br /> common use of both the Contractor and the City. Only non-personally <br /> identifying aggregate data shall be provided for the common use of the <br /> City. The City may duplicate, use and disclose in any manner and for any <br /> purpose whatsoever, all materials prepared under this Agreement. <br /> Materials produced with grant funds must be distributed at no cost to <br /> recipients. <br /> Pursuant to 28 CFR §66.34, the Office on Violence Against Women <br /> reserves a royalty-free, nonexclusive, and irrevocable license to <br /> reproduce, publish or otherwise use, and to authorize others to use, in <br /> whole or in part (including in the creation of derivative works), for federal <br /> government purposes: <br /> (a) any work that is subject to copyright and was developed under <br /> this award, sub-award, contract or subcontract pursuant to this <br /> award; and <br /> (b) any work that is subject to copyright for which ownership was <br /> purchased by a recipient, sub-recipient or a contractor with <br /> support under this award. <br /> In addition, the Contractor must obtain advance written approval from the <br /> Office on Violence Against Women program manager assigned to this <br /> award, and must comply with all conditions specified by the program <br /> manager in connection with that approval before: <br /> (a) using award funds to purchase ownership of, or a license to <br /> use, a copyrighted work; or <br /> (b) incorporating any copyrighted work, or portion thereof, into a <br /> new work developed under this award. <br /> 6.7 Safeguarding of Confidential Information. Contractor shall not <br /> disclose or misuse confidential information obtained under this <br /> Agreement unless the disclosure is authorized by law and directly <br /> connected to the official purpose for which the information was obtained. <br /> Contractor shall protect confidential information collected, used, or <br /> acquired in connection with this Agreement, against unauthorized use, <br /> disclosure, modification, or loss. The Contractor shall ensure its <br /> directors, officers, employees, subcontractors or agents use the <br /> confidential information solely for the purposes of accomplishing the <br /> services set forth in this Agreement. The Contractor agrees not to <br /> release, divulge, publish, transfer, sell or otherwise make confidential <br /> information known to unauthorized persons without the express written <br /> consent of the affected party or as otherwise authorized by law. The <br /> Contractor agrees to implement safeguards to prevent unauthorized <br /> access, use, or disclosure of confidential information. The Contractor <br /> shall notify the City immediately after becoming aware of any <br /> unauthorized access, use, or disclosure of confidential information and <br /> shall take necessary steps to mitigate the harmful effects of such use or <br /> disclosure. <br /> AGREEMENT RE FY08 STOP GRANT Page 4 of 9 <br /> 18 <br />
