11 <br /> AGREEMENT <br /> IN CONSIDERATION of the mutual covenants contained herein, the sufficiency of which is <br /> hereby acknowledged, the Parties agree to the above Recitals, which are incorporated by <br /> reference herein, and further agree as follows: <br /> 1.0 PURPOSE <br /> tation <br /> ts <br /> 1.1 This Agreement establishes, among the Partother things, the Participating Agencies, fheterms�oder which the <br /> ORCA <br /> the U-PASS to be provided by p <br /> ORCA Cards will be produced and distributed, and the terms under which the Institutions <br /> may purchase the U-PASS benefits provided by the Participating Agencies for Eligible <br /> Students and Eligible Faculty and Staff during the term of this Agreement. <br /> 1.2 This Agreement also establishes the terms under which the Institutions may purchase <br /> specific optional transportation products and services from a specified individual <br /> Participating Agency. <br /> 1.3 The Institutions understand and agree that neither this Agreement, nor the purchase of <br /> transportation benefits and products from one or more of the Participating Agencies, <br /> constitutes a contract for specific transportation services, and the Participating Agencies <br /> have no obligation to the Institutions or any other party to provide any particular level, <br /> frequency or routing of transportation service. <br /> 2.0 DEFINITIONS <br /> The following definitions shall, unless otherwise indicated, apply to the terms of this Agreement <br /> and all its attachments. <br /> 2.1 Academic Quarters. An ORCA system listing of fare card, application, and/or product identifiers, <br /> with an associated action, that instructs devices to modify the fare card, or its associated <br /> application or product, accordingly. <br /> 2.3 Business Passport Product. An ORCA Product that is valid for unlimited access to the <br /> transportation services operated by Participating Agencies that are specified in <br /> Attachment 2. <br /> 2.4 Card Block. An ORCA system process that culminates in invalidating an ORCA Card. <br /> 2.5 Card Group. A group dof rdering der ngaOnd orrr cardCA smantthe agement funons ctions. <br /> ons.ate and manage <br /> to simplify ORCA Product <br /> 2.6 Card Serial Number(CSN).A unique 8-digit number assigned to each ORCA Card that <br /> is both printed on an ORCA Card and resides in an electronic format in the card's <br /> microchip.
