Ii 4.0 AGREEMENT ATTACHMENTS The following are attached hereto and incorporated by this reference into this Agreement: ATTACHMENT 1 - Parties and Designated Representatives ATTACHMENT 2 - Products, Pricing and Terms ATTACHMENT 3 - Security Standards ATTACHMENT 4 - Emergency Ride Home Terms ATTACHMENT 5 - Home Free Guarantee Terms ATTACHMENT 6 - Vanpool Terms ATTACHMENT 7 - Memorandum of Agreement • 5.0 DESIGNATED REPRESENTATIVES and LEAD PARTY FUNCTIONS 5.1 To promote effective and efficient cooperation and administration of this Agreement, each of the Parties shall designate a primary contact person ("Primary Contact") as identified in Attachment 1, Parties and Designated Representatives. This Primary Contact for each Party shall be responsible for managing the Party's roles and responsibilities under this Agreement. A secondary contact person ("Secondary Contact") shall also be designated for the Institutions and the Lead Agency, as identified in Attachment 1. The Parties may communicate with and rely upon either the Primary or Secondary Contact on matters relating to this Agreement. A Party may change its Designated Representative by providing written notice to the other Parties (including revised contact information), and Attachment 1 shall be deemed to be revised accordingly. 5.2 The Lead Agency shall perform the administrative functions of sending invoices to the Lead Institution and receiving/allocating the Institution's payment among the Participating Agencies, moving Card Groups on and off the ORCA Whitelist as described in Section 12, processing orders for ORCA Cards, facilitating the ORCA/University Working Group and other functions as specified in this Agreement. 5.3 The Lead Institution shall receive all invoices and make payment to the Lead Agency for the Institutions. The Lead Institution shall coordinate survey administration at all locations, participation by Institutions in the ORCA/University Working Group, pricing negotiations and other functions as specified in this Agreement. 6.0 NOTICES 6.1 Except as otherwise provided in Section 19, Termination, any notice required or permitted to be given under the terms of this Agreement shall be directed either by email or regular mail to the Parties' Designated Representatives, as specified in Attachment 1. 6.2 The Institutions and the Participating Agencies shall provide immediate notice of any changes to their respective Designated Representative's contact information. An email shall be sufficient notice if sent to the last person and address provided. 7.0 PRICING 7.1 The costs associated with this Agreement are specified in Attachment 2, Products, Pricing and Terms. Attachment 2 shall apply for the first year of this Agreement's term (October 1, 2011, through September 30, 2012). No later than June 30, 2012, the Parties shall commence discussions for the purpose of developing an amended Attachment 2 (including but not limited to the number of trips, Per Trip Rates and costs) that shall apply for the second year of this Agreement (October 1, 2012, through 50 U-PASS Agreement Page 5 of 44 Final, October 2011
