The Parties agree that the number of trips, Per►rip Rates and <br /> costs designated in Attachment 2 as applying to the period of October 1, 2012, through <br /> September 30, 2013, shall remain so designated in any amended Attachment 2. The <br /> Parties agree that notwithstanding the date the amended Attachment is signed by all <br /> Parties, the effective date of the amended Attachment 2 shall be October 1, 2012. <br /> 7.2 The Parties agree to include the King County Ferry District's water taxi service between <br /> West Seattle and downtown Seattle and between Vashon Island and downtown Seattle <br /> as a part of the U-PASS program. King County is an authorizing entity under Section <br /> 1(K) of the District's Resolution FD 2010-01.1 which enables inclusion of the District's <br /> service in ORCA Business Passport Products, of which U-Pass is an example. The <br /> Institutions shall pay the amounts identified in Attachment 2 for inclusion of the District's <br /> service under the King County Metro pricing section and King County shall be <br /> responsible for remitting to the District the compensation as agreed upon among the <br /> Institutions and the District and subsequently identified in Attachment 2. <br /> 7.3 This Agreement is subject to the fare structures adopted by all Participating Agencies at <br /> the time of its execution. Each order for ORCA Cards submitted by the Institutions will be <br /> subject to the provisions of this Agreement. <br /> 7.4 Each Participating Agency will notify the Lead Institution of a proposed fare adjustment <br /> that would affect U-PASS pricing as soon as practicable after it is placed on an agenda <br /> of the governing body of the Participating Agency. The Participating Agency will <br /> determine the new per trip rate(s) consistent with the methodology used to determine the <br /> Per Trip Rates listed in Attachment 2. Once a generally applicable fare adjustment is <br /> implemented by any of the Participating Agencies, that Participating Agency's Per Trip <br /> Rate(s) and the applicable cost will be adjusted commencing at the beginning of the <br /> next calendar quarter unless otherwise expressly specified in Attachment 2 as not <br /> subject to increase under this provision for the duration of this Agreement. <br /> 7.5 To the extent feasible and subject to their respective authorities, the Participating <br /> Agencies and the Institutions will seek to achieve the following goals in developing <br /> pricing using ORCA data: <br /> a. Maintain the ability for the Lead Institution to negotiate pricing with each individual <br /> agency. <br /> b. Maintain the ability of the Institutions to enter into a fixed price transit contract, based <br /> upon the latest available ridership data from ORCA and agreed upon per trip pricing for <br /> each agency, as described in Section 9. <br /> c. Provide for transfer pricing policy that results in the Institutions paying only for the <br /> most expensive leg of linked trips. <br /> 8.0 PAYMENTS AND BILLING <br /> 8.1 Invoice and Payment. The Lead Agency shall present a quarterly invoice to the Lead <br /> Institution's Designated Representative listed in Attachment 1. The Lead Agency shall <br /> issue an invoice at the beginning of each calendar quarter that will include itemized <br /> billings for the amount due for that calendar quarter for the following items (as <br /> appropriate): each Participating Agency's transit costs for the University's Seattle, <br /> Tacoma and Bothell Campuses, Harborview Medical Center, the College; shared-cost <br /> programs; and other applicable programs. The invoice issued in October 2011 shall also <br /> include the reconciliation credit/charge, if any, calculated for the contract ending <br /> U-PASS Agreement <br /> 51 Page 6 of 44 Final, October 2011 <br />
