1 : <br /> AMENDMENT NO. 5 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN <br /> THE CITY OF EVERETT <br /> AND <br /> MURRAY, SMITH &ASSOCIATES, INC. <br /> The City and Murray, Smith & Associates, Inc. agree to amend and modify their professional services <br /> agreement dated September 5, 2007(the"Agreement")as follows: <br /> 1. The effective date of this Amendment is August ,2012. <br /> 2. The work included in Exhibit A-4 of this amendment is added to the Scope of Work described in <br /> Exhibit A of the Agreement,Exhibit A-2 of Amendment No.2 and Exhibit A-3 of Amendment No.4. <br /> 3. Paragraph 4(B)is modified to read as follows: <br /> The Contractor shall be paid such amounts and in such manner as described in Exhibit B of the <br /> Agreement, Exhibit B-2 of Amendment No. 2, Exhibit B-3 of Amendment No. 4 and Exhibit B-4 <br /> of this amendment. <br /> 4. Paragraph 4(D)is modified to read as follows: <br /> Total compensation, including all services and expenses, shall not exceed a maximum of <br /> One Million, Four Hundred Nineteen Thousand, Three Hundred Forty-one Dollars <br /> ($1,419,341). <br /> 5. All terms, conditions and provisions of the Agreement remain in full force and effect except as <br /> expressly modified by this Amendment. <br /> 6.
