Scope of Work: GC/CM shall render the Preconstruction Services called for in this Contract, including the Preconstruction Work Plan in Attachment A dated October 3, 2012 and the Preconstruction Services Scope of Work in Attachment B dated October 3, 2012. The GC/CM shall render the Preconstruction Services as expeditiously and completely as necessary to ensure that the cost and schedule objectives in Section 2.D and Section 3.0 of the Request for Proposals are met. While the Project will be constructed as separate.Phases, Liquid Stream (Phase C1) and Solids Handling (Phase C2), this Contract covers both Phases unless the Contract is terminated by the Owner or the Contract is modified by mutual amendment. The Owner intends to initially authorize Preconstruction Services for the Liquid Stream Phase Cl. The GC/CM may not proceed with Preconstruction Services related to the Solids Handling Phase C2 of the Project without prior written approval from the Owner. 2. Compensation: Owner will pay GC/CM a time and expense, not-to-exceed amount up to $875,136.00, excluding Washington State sales tax for satisfactorily performed Preconstruction Services authorized by the Contract. This Contract amount specifically includes all of the GC/CM's direct and indirect costs arising out of or related to the performance of the Preconstruction Services authorized in the Contract, including but not limited to profit, overhead, supervision, labor, supplies, materials, equipment or use .thereof, taxes, relocation costs, travel, communication, and office space. The GC/CM shall submit monthly invoices and will be paid monthly for satisfactorily completed work and services based on actual time and expenses without markup, up to the not-to-exceed total compensation set forth above. Any amount that exceeds the total compensation agreed to will be at the GC/CM's sole cost and expense, unless there are scope changes in the Preconstruction Services authorized by a mutual and written amendment to this Contract. If the Parties agree by amendment to this Contract for the GC/CM to add personnel not included in the Preconstruction Work Plan, their fully loaded hourly rate shall be consistent with the hourly rates included in Attachment A, "Preconstruction Work Plan" to this Contract.
