• • • 11 • AMENDMENT NO.1 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND MCBEE STRATEGIC CONSULTING,LLC TIllS AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT(the "Amendment")entered into this day of January 2013,by and between the City of Everett (the"City")and McBee Strategic Consulting,LLC(the"Service Provider"). WBEREAS,the City and the Service Provider entered into a Professional Services Agreement dated January 1,2012,as amended(the"Agreement");and WHEREAS,the Service Provider has satisfactorily performed the services outlined in the Agreement;and WHEREAS,the Service Provider has proposed to continue services from January 1,2013 to December 31,2013; and • WEEREAS,the Service Provider has proposed to change the Scope of Services as attached in Exhibit A;and WHEREAS,the City is willing to accept its proposal; NOW THEREFORE the City and the Service Provider mutually agree to amend the Agreement as follows: 1. Section 1 of the Agreement so that the work to be performed by Service Provider in 2013 is governed by Exhibit A to this Amendment No. 1. 2. Section 3 of the Agreement is hereby amended to read as follows: This Agreement will commence on January 1,2013, and will be completed by December 31,2013. • 3. Section 4D of the Agreement is hereby amended to read as follows: D. Total compensation, including all services and expenses, shall not exceed a maximum of Two Hundred Forty Thousand($240,000),which includes $120,000 for 2012,$120,000 for 2013. . 4. All other terms and provisions of the Agreement remain in full force and effect except as expressly modified by this Amendment. This Amendment is effective January 1,2013.
