2. Change Orders for Schedule B Work. <br /> a. District Initiated. If the District desires that additional work be <br /> added to Schedule B during construction, the District will inform the City in writing, and the <br /> City will use reasonable efforts to add by change order such additional Schedule B work. <br /> b. City Initiated. The City without District approval may execute <br /> change orders to the Joint Roadwork Project that in total increase the cost of the Schedule B <br /> work by up to 10% above the amount of the original construction contract amount for <br /> Schedule B, so long as such change orders do not substantively change Schedule B work. The <br /> City will not execute change orders above such 10% or that substantively change the Schedule B <br /> work without the prior approval of the District, which will not be unreasonably withheld or <br /> delayed. <br /> E. Completion and Acceptance of Schedule B Work. <br /> 1. Notice of Completion and Inspection. Upon or near completion of the <br /> Joint Roadwork Project, the City will give the District written notice. The District will inspect <br /> the Schedule B work and provide the City with a written approval or disapproval of such work <br /> within 10 calendar days after such notice. Failure by the District to so provide such approval or <br /> disapproval will be deemed to be approval. If the District provides disapproval, the disapproval <br /> must be based on non-conformities of the work with the Approved Plans and Specifications (as <br /> modified by change orders in accordance with this Agreement) and such disapproval must <br /> specifically list the non-conformities. The City and its contractor will be responsible for <br /> correcting such listed non-conformities in the Schedule B work. Upon completion of correction, <br /> the City will give the District another notice, and the District will re-inspect and provide <br /> approval or disapproval under the same procedures as the original notice. <br /> 2. Acceptance by City of Joint Roadwork Project. After receiving approval <br /> from the District of the Schedule B work, (1) the City will accept the Joint Roadwork Project <br /> from the contractor, (2) the Schedule B work is the property of the District, and (3) the District <br /> has complete responsibility for the repair, maintenance and operation of the Schedule B work. <br /> The City and District will cooperate to execute any documents (such as bills of sale) necessary to <br /> document the District's ownership interest in the Schedule B work. <br /> F. Cost Sharing. <br /> 1. Schedule A Work. The City will pay 100% of costs related to the <br /> Schedule A work, including without limitation all design, consultant, permitting, and <br /> construction costs. In addition, this includes City responsibility for all costs arising from or <br /> relating to any claims asserted against the City by contractors to the extent relating to the <br /> Schedule A work. <br /> 2. Schedule B Work. The District will pay 100% of costs related to the <br /> Schedule B work, including without limitation all design, consultant, permitting, and <br /> construction costs. In addition, this includes District responsibility for all costs arising from or <br /> relating to any claims asserted against the City by contractors to the extent relating to the <br /> Schedule B work.
